Finger lakes health as sole member of ggh appoints/removes trustees; approves any aspect of strategic plan and capital operating/capital budgets that would result in a call upon ur financial resources not dedicated for support of ggh and its affiliates, or has major impact on ur academic programs, or contravene a board approved policy of ur; approves incurrence of debt proposed by corporation including issuances of bonds that would call upon ur financial resources not dedicated for support of ggh and its affiliates, or has major impact on ur academic programs, or contravene a board approved policy of ur, or adversely affect ur's ability to issue tax exempt debt; approves amendments to certificate of incorporation or bylaws; approves any merger, consolidation or dissolution of corporation; approves sale, lease, mortgage or other disposition of all or substantially all of assets of corporation; approves actions taken by ggh as member/shareholder of an affiliate of ggh; approves matters/actions reserved to members of not-for-profit corporations under nys law.”
