All actual and potential conflicts of interest shall be disclosed by board members to the construction employers association of cny executive committee through the annual disclosure form and/or whenever a conflict arises. The disinterested members of the construction employers association of cny's executive committee shall make a determination as to whether a conflict exists and what subsequent action is appropriate (if any). The executive committee shall inform the board of such determination and action. The board shall retain the right to modify or reverse such determination and action, and shall retain the ultimate enforcement authority with respect to the interpretation and application of this policy.

Income taxes: the company is registered as a 501(c)(6) not-for-profit organization under the internal revenue code. As a result, the company is exempt from federal income taxation. The company follows financial accounting standards board ("fasb") accounting standards codification ("asc") topic 740-10, "accounting for uncertainty in income taxes", which clarifies the accounting for uncertainty in income taxes. The company did not recognize any impact under fasb asc topic 740-10 for the years ending december 31, 2024 and 2023. The company could be subject to income tax examinations for its u.s. Federal and state income taxes for the years 2021 through 2024.
