San diego theatres has adopted a conflict of interest code, as mandated by the political reform act of 1974 of the fair political practices commission ("fppc"), which covers san diego theatres board members, and designated employees and consultants. San diego theatres addtionally adopted a corporate conflict of interest policy no. 404, which supplements the standards established by the fppc, which are incorporated in the conflict of interest code.the purpose of this policy is to prohibit individuals from engaging in situations which create an apparent or actual conflict of interest to the business interests of the san diego theatres. When acting for or on behalf of sdt, covered persons are required to act in the best interest of sdt.there are certain situations that are prohibited by sdt as conflicts with san diego theatres, inc. 14-1886373 its interest. Absent full and complete disclosure and authorization by the president/ceo or a majority of disinterested directors, no covered person may:(a)obtain a controlling financial or other beneficial interest in a vendor that sdt has a current business relationship with;(b)engage in a significant, compensated, personal business transaction with sdt;(c)accept money, gifts (in excess of the limits set by the fppc regulations), excessive hospitality, loans or other special treatment from any supplier, vendor or customer in which sdt has existing or prospective business relations;(d)solicit sdt employees or customers; or(e)work on or for competing business while being paid by sdt.

SDTI is a public charity, and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701(d) of the California Revenue and Taxation Code. SDTI believes that it has appropriate support for any tax positions taken, and, as such, does not have any uncertain tax positions that are material to the financial statements. SDTI is not a private foundation.SDTIs Return of Organization Exempt from Income Tax for the years ended June 30, 2025, 2024, 2023, 2022 and 2021 are subject to examination by the Internal Revenue Service and State taxing authorities, generally three-to-four years after the returns were filed.

IRS990/MissionDesc0San Diego Theatres, Inc. (SDTI) is a not-for-profit public benefit corporation established to manage and operate publicly owned performing arts theatres. SDTI was established in 2003 by the San Diego Convention Center Corporation (SDCCC), as an operating unit of SDCCC. In 2012, SDTI became a free-standing, non-profit public benefit corporation under amended and restated Articles of Incorporation and Bylaws. SDTI markets, operates, and maintains the Civic Theatre and the Balboa Theatre.The Civic Theatre was constructed by the City of San Diego (City) on land owned by the City and includes a 2,967-seat performing arts theatre as well as a central HVAC plant (Central Power).
