Part X : FIN48 Footnote

SHOH, Ritz Theater and HDFC qualify as tax exempt organizations and are exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code.The Partnership is limited partnership, in which there is no taxation at the partnership level. The partners of the partnership are taxed on their proportionate share of the partnership's income. Accordingly, there is no provision or liability for Federal or State income taxes.Management has determined that the parternship had no uncertain tax position that would require financial statement recognition. The partnership is no longer subject to income tax examination by federal, state, or local authorities for years before 2015. The Partnership's property has received low-income housing credits under Section 42 of the Internal Revenue code to totaling $1,438,966 annually, for 10 years, subject to certain tenant income requirements. These credits began passing through to the partners in 2006. Section 42 regulated the use of the project as to occupant eligbility and unit gross rent, among other requirement. This credit expires in 2020. The partnership must meet the provisions of these regulations for 15 consecutive years from the initial credit date. The partnership's property has received Historic Rehabilitation Credits under the internal Revenue code totaling $3,954,603. These credit passed through to the partners in 2006.
