“Each board member, board officer, member of a committee, and key person the "interested persons" annually signs a statement which affirms that such person has complied with the conflict-of-interest policy. "Key Person" means any person, other than a Director, Trustee or Officer, whether or not an employee of the corporation, who (a) has responsibilities, or exercises powers or influence over the corporation as a whole similar to the responsibilities, powers or influence of the Trustees, Directors and Officers; (b) manages the corporation, or a segment of the corporation that represents a substantial portion of the activities, assets, income or expenses of the corporation; or (c) alone or with others controls or determines a substantial portion of the corporation's capital expenditures or operating budget. For purposes of this policy, key person shall include the following employees: President/Chief Executive Officer, Chief Financial Officer, and Vice Presidents. The Corporate Compliance Committee shall review the completed conflict of interest disclosure statement of all interested persons at the time of their submission and provide the board with copies of the disclosure statements of interested person that note exceptions or otherwise provide information concerning relationships, interest, or arrangements of the interest person. Disclosures can be made through the annual conflict of interest disclosure statement required under Article VI and at any time when a conflict otherwise arises. After disclosure of a potential conflict of interest and all material facts, and after any discussion with the interest person to clarify or obtain additional information relevant to the financial interest, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee member shall decide if a conflict of interest exists. If the board or committee has reasonable cause to believe that an interested person has failed to disclose an actual or possible conflict of interest, it shall inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose. If, after hearing the response of the interested person and making such further investigation as may be warranted in the circumstances, the board or committee determines that the interested person has in fact failed to disclose an actual or possible conflict of interest, it shall take such action as it considers appropriate, including disciplinary and corrective action if warranted.”

Hudson Valley Hospice, Inc. evaluates management staff using a performance based rating system and compensation plan commensurate with internal and external references. Hudson Valley Hospice, Inc. also utilizes the Hospice Salary and Benefits report published by Hospital and Healthcare Compensation Service, MVI and Labor IQ. The last compensation review occurred in January 2024 for the CEO. Line 15b: Compensation of other officers is determined by Hudson Valley Hospice. Inc., a related organization. Hudson Valley Hospice, Inc. evaluates management staffing using a performance based rating system and compensation plan commensurate with internal and external references noted above. The last compensation review for executive group occurred in April 2024.”
