Through philanthropic support and advocacy, wildwood foundation supports wildwood programs in empowering people with developmental disabilities, complex learning disabilities and autism to lead independent, productive and fulfilling lives.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

Upon final draft of the 990, the independent auditors will provide management with a pdf format electronic version of the 990 for the wildwood foundation. Management will review and forward on to the finance committee for review, questions and answers. Upon approval of the finance committee, the 990 will be sent electronically to the appropriate boards for review, questions, answers and final approval of the form 990.

Form 990, Part VI, Section B, Line 12C

Once a year, the compliance officer ensures that employees with substantial discretionary authority, as well as board members, complete the annual conflict of interest statement. Any identified potential conflicts of interest are reviewed by the compliance officer and presented to the quality assurance and compliance committee for review. In addition, the conflict of interest statements are reviewed by the audit and compliance committee and the president of the board is informed of the potential conflicts. The annual compliance plan training information contains information regarding the need for all employees to report any potential conflict of interests to their supervisor and/or the compliance officer for review.

Form 990, Part VI, Section B, Line 15

The first step in setting executive management salaries is an executive management meeting to develop general budget parameters. In this meeting, there is discussion of the revenues and expenses expected for the upcoming year. The executive management team then discusses the general agency cost of living increases that will be given to staff. In addition, there is a discussion on any significant salary adjustments that need to be made for specific groups of employees or individuals so that the entire executive team is aware of any changes in compensation. This information will be shared with the finance committee, a subcommittee of the board of directors, which is charged with the oversight of the agency annual budget. There is a discussion of the budget parameters and any specific adjustments that would be made for groups of employees. The human resources (hr) committee of the board of directors is also charged with the benchmarking of the executive management salaries. A task force made up from members of the hr committee and members of the finance committee have the responsibility of coming up with recommendations for the chief officer (ceo) salary. This committee then reports to the board of directors. The recommendations of the board are then implemented within the budget process. This salary is then shared again for approval with the finance committee and the board of directors during the budget approval process.

PART V, LINE 4:

General endowment-foundation history in june 2003, the wildwood foundation board of directors authorized the transfer of $200,000 to establish wildwood's general endowment fund. Purpose the purpose of the general endowment fund established by the wildwood foundation board of directors in 2003 is to provide a source of revenue that could be used at the general discretion of the board of directors to support the overall operating costs of the wildwood programs. Some of the uses could include: - staff salaries - fringe benefits - program deficits - capital acquisitions and improvements ned pitkin endowment-foundation history in november 1989, wildwood lost one of its founding fathers, edgar s. Pitkin, better known to many as ned, his ingenuity, perseverance, and love opened the door to a better future for thousands of children and adults with neurological impairments, learning disabilities and autism. His legacy of deep commitment and decisive action is an ongoing inspiration to the entire wildwood family. As a tribute to his memory the wilwood board of directors created this endowment fund in his name. The purposes of the fund reflect ned's true belief that the quality of wildwood programs is dependent on the quality of its staff. Purpose the ned pitkin endowment fund established by the wildwood board of directors in 1990 to provide enhancements for employees to ensure that wildwood can continue to maintain quality staff. The income derived from the ned pitkin endowment fund will be used for the following general purposes: - salary maintenance and enhancements - fringe benefits maintenance and enhancements - staff development and training - publication funds - professional travel - special research the amy l. Thompson endowment for wildwood adult education program-foundation history the amy l. Thompson endowment for wildwood adult education program was established in 2010 to provide a source of revenue that could be used to support wildwood's adult education program. Robert a. And adelaide m. Thompson established this fund in memory of their daughter, amy, who passed away in 2010. Amy had a zest for living, a quick wit and an engaging personality. Amy made many friends through her involvement in the wildwood adult education program, as well as through her volunteer activities and her community involvement. Purpose every semester that amy participaed in the wildwood adult education program, amy took classes that covered a wide range of topics. The amy l. Thompson endowment for wildwood adult education program will support various courses offered to adults through the wildwood adult education program, covering a variety of topics that facilitate continuing education and socialization. Examples of course offerings that will be supported by this fund include, but are not limited to: - friends connection - computer literacy - cooking - getting out there - preparing for emergencies - self management - the do's and don'ts of dating the spirit of jeanie fund the spirit of jeanie fund was establihed by david m. Ellenbogen in memory of his beloved wife, jean ellenbogen. For nearly 20 years, jean ellenbogen committed her time, enery and love as a volunteer to co-coordinate the annual capital district flower and garden show, to benefit wildwood programs. Each year, income from the spirit of jeanie fund shall be used to support travel-related expenses for people participating in wilwood's recreation program and to provide general operation support for wildwood's recreation program. The clifford and marilyn elson residential staff emergencies endowment fund history dr. Clifford and marilyn elson have provided a $100,000 gift to the wildwood foundation to establish a residential staff emergencies fund. This fund was established by the elson family in gratitude to the dedicated staff at wildwood who provide security for their daughter and all others supported by wildwood's residential program. Purpose the purpose of this fund is to assist direc

PART X, LINE 2:

Form 990, page 3, question 11f: the foundation is exempt from federal income taxes as a not-for-profit corporation under tax section 501(c)(3) as determined by the internal revenue code. In addition, the foundation qualifies for charitable contribution deductions and has been classified as an organization other than a private foundation. Under asc section 740, the tax status of tax-exempt entities is an uncertain tax position, since events could potentially occur that jeopardize tax-exempt status. Foundation management is not aware of any events that could jeopardize tax-exempt status. Therefore, no liability or provision for income tax has been reflected in the financial statements.
