“As per the november 2024 minutes, there was a change in the bylaws which was approved during the november meeting. The change is in regards to section 6. Voting director (ambassador seat): an individual member of the board of directors elected by the members by virtue of his or her knowledge, expertise, and experience serving as a current ambassador. The voting director ambassador seat is a full board member, serving the same three (3) year term as all other board members and governed by the same election and term of directors as detailed in the bylaws.”

“The federal form 990 is reviewed by the finance committee during a presentation by our outside accountants. The finance committee will approve the form 990 or recommend any revisions and then take their approved form 990 to the entire board of directors for their approval prior to filing with the irs.”

The disclosure statements shall be reviewed by the board of directors or by a committee thereof. In addition, each director and officer must report promptly to the corporation any potential conflict of interest as and when it arises. Protocols to assure for the disclosures of all real or potential conflicts of interest are properly forwarded to the finance and audit committee. The interested individual may participate in the information-gathering stage of the board of directors, or committee, discussion but shall retire from the room in which the board of directors or a committee thereof is meeting and shall not participate in the final deliberation or decision regarding such contract or other transaction. Such interested individual may not vote on such contract or other transaction.”

“WALKWAY OVER THE HUDSON”

“Walkway over the hudson organization serves as a friends group to the state park of the same name. When the derelict 1889 poughkeepsie highland railroad bridge opened in 2009 as the repurposed walkway, our volunteers became an essential part of hosting programs and events on the walkway. Volunteers greet visitors and answer questions about the bridge, parking, regional tourist attractions, restaurants and other general information. Volunteers also lead bus tours and serve as docents for many school field trips and other groups visiting the walkway. We host seniors and accommodate persons with limited mobility to ensure that they can experience the breathtaking views and serenity of this linear park 212 feet above the hudson river. With the help and enthusiasm of many volunteers we strive to be the state's "friendliest park". Volunteers also staff our weekend pavilions, selling merchandise that helps fund our programs. We welcome volunteers from throughout the region and have opportunities to volunteer on the walkway, at our pavilions, at special events or in our office.
