Governance Explanations

Form 990, Part VI, Section A, line 3

Management Excellence, Inc. (an Ohio corporation) manages all aspects of the organization's operations in accordance with the organization's bylaws and policies. Operations may include but are not limited to administration, membership, finance and accounting, convention/trade show/meeting planning, education, marketing, information technology, and government relations. At all times such delegated responsibilities are adequately supervised by the Board consistent with the Board members' fiduciary obligations.

Form 990, Part VI, Section A, line 6

The membership of NANT consists of voting members and non-voting members. Individuals that by job classification or description are employed as a technician or technologist in the field of Nephrology regardless of certification can become Full, voting members. Any corporation or organization that wishes to support NANT can become a Corporate, voting member. The Corporate member receives one vote. Non-voting memberships are offered to students and other individuals that do not qualify for Full memberships. Voting membership rights are at all times subject to the bylaws and membership policies and practices of the organization. Voting members have the right to votge pursuant to NANT's bylaws and have all other rights and privileges extended to Voting members by the organization.

Form 990, Part VI, Section A, line 7A

The Voting members elect the officers of the organization. The President appoints the project directors and coordinators. Together, the officers and the directors make up the governing body. The Voting members do no approve significant decisions of the governing body. The Voting members cannot receive a share of the the organization's profits or net assets upon the organization's dissolution.

Form 990, Part VI, Section B, line 11B

The independent accountant prepares Form 990 and related schedules based on the information provided by the organization's Secretary/Treasurer and Management Company. Form 990 and related schedules are then reviewed by the Board on a line-by-line basis as the final step prior to filing the return with the IRS. Copies of Form 990 and related schedules are available to each Board member. The accountant, Secretary/Treasurer, and Management Company answer any questions. Board members are reminded of their fiduciary responsibilities.

Form 990, Part VI, Section B, line 12C

All Board members are covered under the written conflict of interest policy. Conflicts of interest are defined as an interest, direct or indirect, with any persons or firms involved with the organization. Transactions with parties with whom a conflicting interest may exist will only be undertaken if the conflicting interest is fully disclosed, the person with the conflict of interest is excluded from the discussion and approval of such transaction, a competitive bid or comparable valuation exists, and the Board has determined that the transaction is in the best interest of the organization. All officers, directors and trustees, and Board members are required to disclose in writing, on a periodic basis, any known relationship, financial interest, or business affiliation that the individual or a member of their family may have that could result in a conflict of interest.

Form 990, Part VI, Section B, line 15

The organization does not have any compensated persons. However, if the organization did have employees, the organization would determine compensation based upon a review and approval by independent persons, using comparability data. NANT would maintain written documentation of the deliberation and decision for all compensation issues.

The organization's governing documents, conflict of interest policy, financial statement, and filings with the IRS are available to any party (public or private) who requests the information.

The annual symposium and other meetings are resources for information about the trends for today's dialysis technicians. Professional continuing education contact hours can be earned by attending certain sessions. In addition, other meetings and expenses are necessary to plan for future programs and to assess present program activities. Membership benefits include a quarterly newsletter, subscriptions to industry publications, and discounted registration fees for the national symposium, regional meetings, workshops, and webinars.

Non-voting memberships are offered to students and other individuals that do not qualify for Full memberships. Voting membership rights are at all times subject to the bylaws and membership policies and practices of the organization. Voting members have the right to votge pursuant to NANT's bylaws and have all other rights and privileges extended to Voting members by the organization.
