At Hudson Valley Hospice, our mission is to serve the people of Dutchess and Ulster Counties by enhancing the quality of living for those at the end of life. We are a private, not-for-profit health-care agency dedicated to helping individuals who are near the end of life maintain their dignity and enhance the quality of life. Not only do we care for the patient, but we also care for the family. By providing physical, spiritual and emotional support, our professional and volunteer staff will help family members through this challenging time.

“The executive committee is composed of at least the following: Chairperson, First Vice Chairperson, Second Vice Chairperson, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Immediate Past Chairperson (if still serving on the board), and optionally, such other directors selected by the board. The Executive Committee has the power to transact necessary business between the regular meetings of the Board of Directors. Actions taken by the Executive Committee are reported at the regular meetings of the Board of Directors. The Executive Committee annually evaluates the performance of the President and Chief Executive Officer.”

“Each board member, board officer, member of a committee, and key person the "interested persons" annually signs a statement which affirms that such person has complied with the conflict-of-interest policy. "Key Person" means any person, other than a Director, Trustee or Officer, whether or not an employee of the corporation, who (a) has responsibilities, or exercises powers or influence over the corporation as a whole similar to the responsibilities, powers or influence of the Trustees, Directors and Officers; (b) manages the corporation, or a segment of the corporation that represents a substantial portion of the activities, assets, income or expenses of the corporation; or (c) alone or with others controls or determines a substantial portion of the corporation's capital expenditures or operating budget. For purposes of this policy, key person shall include the following employees: President/Chief Executive Officer, Chief Financial Officer, and Vice Presidents. The Corporate Compliance Committee shall review the completed conflict of interest disclosure statement of all interested persons at the time of their submission and provide the board with copies of the disclosure statements of interested person that note exceptions or otherwise provide information concerning relationships, interest, or arrangements of the interest person. Disclosures can be made through the annual conflict of interest disclosure statement required under Article VI and at any time when a conflict otherwise arises. After disclosure of a potential conflict of interest and all material facts, and after any discussion with the interest person to clarify or obtain additional information relevant to the financial interest, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. If the board or committee has reasonable cause to believe that an interested person has failed to disclose an actual or possible conflict of interest, it shall inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose. If, after hearing the response of the interested person and making such further investigation as may be warranted in the circumstances, the board or committee determines that the interested person has in fact failed to disclose an actual or possible conflict of interest, it shall take such action as it considers appropriate, including disciplinary and corrective action if warranted.”
