Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of form 990 is e-mailed to all members of the board with indication of when the return will be filed. The board is encouraged to review and compare it to the audit report and ask questions. Form 990 is also reviewed internally by the finance director and the executive director before it is sent to the board.

Form 990, Part VI, Section B, Line 12C

Each member of the board of directors and the administrative staff completes a conflict of interest questionnaire annually. The finance director and the executive director are responsible for reviewing the questionnaires to determine whether any conditions or circumstances exist that needs to be discussed with the board of directors. The executive director reports back to the board with the results.

Form 990, Part VI, Section B, Line 15

The process for determining the compensation of the executive director and other officers of the school consists of evaluation and approval by the board of directors. Their analysis includes the use of comparability data such as the regional average salary determined by the new york state education department for the position under review, along with equivalent rates from the local school district if applicable. Both the discussion and final approval are included in the board minutes.
