Governance Explanations

Form 990, Part VI, Section B, Line 11B

The final draft of the form 990 was reviewed and discussed thoroughly with the finance committee members. After the finance committee approved the draft, the draft was presented to all board members electronically. All issues were thoroughly reviewed and corrected prior to filing.

Form 990, Part VI, Section B, Line 12C

Officers and directors are required to sign conflict of interest statements annually, which the executive director reviews. After reviewing the forms, the executive director reports back to the board of directors. The governing board or committee will address any potential conflicts of interest that may arise. They will determine if the organization can obtain with reasonable efforts a more advantageous arrangement that would not give rise to a conflict of interest. These forms are maintained in individual board member personnel files.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of directors serves as the personnel and compensation committee. In determining compensation for the executive director, the committee reviewed salaries of similar organizations (size , budget, mission) as well as the scope of responsibilities and range of the executive director's experience. This process last took place in april 2024.

Form 990, Part VI, Section C, Line 19

The governing documents and conflict of interest statements are available upon request. Audited financial statements are available on the organization's website and in the annual report published in the fall, and widely available to the public.
