Mission

The Seton Health Auxiliary is a non-profit organization of men and women who are united in support of the mission of Seton Health/St. Mary's Hospital. Founded in 1907, the Auxiliary has spent over 100 years in service to St. Mary's Hospital, where it has raised hundreds of thousands of dollars to assist the hospital to attain its goals.

Volunteers raise money in order to donate to Seton Health System & provide small gifts to patients.

The organization took steps to educate management, members of the board and members of appropriate subcommittees of the board on the compliance requirements mandated by the Form 990. The Form 990 is reviewed by the Executive Committee of the Board of Trustees of St. Peter's Health Partners. The Board of Trustees is updated on all major areas included in the filing. In addition, the annual filing of Form 990 is provided to the entire Seton Auxiliary Board of Trustees prior to filing.

Form 990, Part VI, Section B, line 12C

The organization regularly and consistently monitors and enforces compliance with the conflict-of-interest policy in that any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of the committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining individuals on the governing board or committee meeting will decide if conflicts of interest exist. Each director, principal officer and member of a committee with governing board delegated powers annually signs a statement which affirms such person has received a copy of the conflict-of-interest policy, has read and understands the policy, has agreed to comply with the policy, and understands that the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish its tax-exempt purpose.

Form 990, Part VI, Section B, line 15

CHE determines the organization's top management officials' compensation. CHE's determination of compensation includes review by an independent compensation committee, which reviews and approves all elements of remuneration. The committee has an established compensation philosophy, which details the objects of market positioning and pay elements. The committee engages with external consultants to provide market data comparing the organization's roles to similarly sized health systems utilizing both title and job content comparisons. The committee reviews the market analysis, approves any salary adjustments for the executive population, considers both reasonableness and effectiveness of all remunerative programs and establishes the detailed performance expectations which are incorporated into the incentive plan. All of these discussions and decisions are documented through the provision of meeting minutes. The compensation of other officers and key employees of the organization are reviewed by an independent compensation consultant who reviews the salaries to ensure they are within market and market competitive. This is done on an annual basis, reviewed by either the organization's or a related organization's compensation committee and communicated to the other officers and key employees.
