The arc of rensselaer county is committed to advocating for the rights and safety of individuals of all ages who primarily have intellectual disabilities and, in some instances, have other developmental disabilities or delays. The arc is a source of support, specialized knowledge, and resources in assisting individuals and their families to determine their needs and goals. The arc also works to influence societal attitudes and resources so that people with intellectual and developmental disabilities will have access to the services, assistance, and opportunities they need for personal growth and development and participation in the community.

Nysarc was founded in 1949 to meet a critical mission - to improve the quality of life for people with intellectual and other developmental disabilities.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Nysarc, inc. Is a unitary corporation consisting of its 39 chapters. Nysarc, inc., rensselaer county chapter is one division of the corporation. The corporation and chapter's governing body is the board of governors representing the individual membership in each chapter's jurisdiction. Each chapter has one primary and one alternate governor with a weighted average vote based on membership. The corporation through its bylaws delegates day-to-day operating authority to the chapter's board of directors. The executive committee of the board of governors comprises the corporation's elected officers and exercises all powers of the board of governors between plenary meetings of the governors.

Form 990, Part VI, Section A, Line 7A

The organization's members elect the officers and directors of the chapter annually. In turn, those chapter board members nominate the officers and directors of the corporation.

Form 990, Part VI, Section B, Line 11B

The board of governors does not review chapters' form 990s before they are filed. Each chapter submits a copy of its form 990 to the governing body when the chapter has filed. Each chapter must have a process for its board of directors to review the form 990. The rensselaer county chapter's process is as follows: 1 - the completed form 990 will be provided to the finance committee of the board of directors sufficiently in advance of the filing deadline to enable a detailed and conscientious review by all members of the committee. All questions, concerns, etc of the finance committee members will be addressed by the cfo and incorporated into the 990 as appropriate. 2 - all members of the board of directors will be invited to review the completed form 990 in advance of the filing deadline via an email version of the draft being sent. In the event a board member needs a hard copy, they should request one by october 1st. All questions concerns, etc of the members of the board of directors will be addressed by the cfo and incorporated into the 990 as appropriate. 3 - after all of the input from the board of directors and the finance committee has been appropriately addressed, the cfo of the agency will file the final form 990 as required.

Form 990, Part VI, Section B, Line 12C

All board of directors and administrative team members are required to sign certification noting any conflicts of interest which exist. This is done on an annual basis. When a member lists a conflict, the executive committee of the board review all conflict requests and then make a determination if there is a concern that needs to be addressed. If a concern does exist the board president is appointed to address this concern with board members and the chief executive officer is directed to address this concern with the administrative team member. On an annual basis for both the consolidated fiscal report schedule cfr 6 related party transactions and as part of internal control, business office staff complete a schedule showing all related party transactions and review for appropriate response. All expenses related to the chief executive officer, and chief fiscal officer is reviewed annual by the finance committee. Also on an annual basis we review a schedule completed by cfo and staff detailing all vendors and total amounts paid these vendors. Starting in 2013 we added the mid managers to the process of needing to sign a conflict of interest statement. They are then required to disclose any conflict to the ceo. This is then reviewed in same manner as the process noted above.

Form 990, Part VI, Section B, Line 15

1.the executive committee of the rarc board of directors develops the total compensation arrangement for newly hired or promoted employees who are classified by rarc policy as executive (ceo) or top administrative employees (associate executives and cfo), as well as recommending changes in compensation for such employees at reasonable time intervals. Using information from current salary peer surveys (i.e., nys state arc) and the pre-set grades in the rarc wage and salary program, compensation for executive and top administrative staff is established. The executive committee recommends the total compensation arrangement for the ceo to the full rarc board of directors for approval. Approval of the compensation arrangements for the cfo and associate executives remains with the executive committee. 2.the human resources department provides the rarc board president and rarc executive committee members comparable compensation data for executive and key administrative employees from peer agencies. The source for this data should include the most recent nys arc salary survey. The finance committee reviews the budget impact of any recommended compensation increases. The finance committee determines and confirms revenue sources in the budget to support the compensatory increases. 3.on at least an annual basis, the rarc board executive committee will review the compensation of the ceo and key administrative employees, including comparison with the data from the peer agencies. The committee makes recommendations for adjustments to the compensation of the executive as appropriate with approval by the rarc board of directors. 4.the executive committee keeps a detailed record of the meetings and discussions relative to ceo and key administrative employee compensation. The justification for recommended adjustments will be appropriately documented. The total compensation package for the ceo will be fully articulated in an employment contract approved by the board of directors and signed by the ceo and the rarc board president.

THE ARC PROVIDES A RANGE OF SERVICES, FROM THE TRADITIONAL GROUP HOME SETTING TO SUPPORTIVE APARTMENTS AND LIFE-SHARING. GROUP RESIDENTIAL SETTINGS PROVIDE 24-HOUR STAFF SUPPORTS TO A GROUP OF THREE OR MORE INDIVIDUALS. SUPPORTIVE APARTMENTS PROVIDE STAFF SUPPORTS TO ONE OR TWO INDIVIDUALS LIVING IN THEIR OWN APARTMENT AS NEEDED. LIFE SHARING OFFERS LIVE-IN STAFF SUPPORT IN THE SAME HOME AS THE PERSON BEING SUPPORTED. PAID NEIGHBORS OFFER LIVE-NEAR SUPPORTS AND RESIDE IN EITHER THE SAME BUILDING OR COMPLEX AS THE PERSON SUPPORTED. THE RESIDENTIAL STRUCTURE VARIES DEPENDING ON THE NEEDS AND WISHES OF THE PERSON SUPPORTED. THE ARC OF RENSSELAER COUNTY PRIDES ITSELF IN CREATIVELY TAILORING SUPPORTS AROUND PEOPLE AND THEIR FAMILIES.
