Management are required to sign a conflict of interest disclosure statment on an annual basis.

Form 990, Part VI, Section B, Line 15

The board of directors must approve in advance the amount of all compensation for the executive director of the corporation. Before approving the compensation of the executive director, the board shall determine that the total compensation to be provided by the corporation to the executive director is reasonable in amount in light of the position, responsibility and qualification of the executive director for the position held, including the result of an evaluation of the executive director's prior performance for the corporation, if applicable. In making the determination, the board shall consider total compensation to include the salary and the value of all benefits provided by the corporation to the individual in payment for services. At the time of the discussion and decision concerning the executive director's compensation the executive director should not be present in the meeting. The board shall obtain and consider appropriate data concerning comparable compensation paid to similar offices in like circumstances. The board shall set forth the basis for its decision with respect to compensation in the minutes of the meeting at which the decisions are made, including the conclusions of the evaluation and the basis for determining that the individual's compensation was reasonable in light of the evaluation and the comparability data. The corporation used data from an outside consultant to determine the salaries of various senior directors.

Equinox, inc. And affiliates are not-for-profit corporations and are exempt from income taxes as an organizations qualified under section 501(c)(3) of the internal revenue code. Each company has also been classified by the internal revenue service as an organization that is not a private foundation. For tax-exempt entities, their tax-exempt status itself is deemed to be an uncertainty, since events could potentially occur to jeopardize their tax-exempt status. As of december 31, 2013 and 2012, the organization does not have a liability for unrecognized tax benefits. The organization files exempt organization tax returns in the u.s. Federal jurisdiction and new york state. The organization is no longer subject to u.s. Federal tax examinations by tax authorities for years before 2010.

SEVENTY PERCENT OF THE SERVICE RECIPIENTS OF THE CLINIC HAVE A CO-OCCURRING SUBSTANCE USE DISORDER (SUD) FOR WHICH THEY ALSO RECEIVE TREATMENT FROM THE CLINIC. SERVICES GENERALLY CONSIST OF INDIVIDUAL OR GROUP THERAPY/COUNSELING, MEDICATION MANAGEMENT, HEALTH AND WELLNESS COUNSELING AND LIMITED CASE MANAGEMENT. IN 2013 THE CLINIC SERVED A TOTAL OF 631 ADULTS WHO RECEIVED A TOTAL OF 11,433 SERVICES. THE EQUINOX PERSONALIZED RECOVERY ORIENTED SERVICES (PROS) PROGRAM SERVES UP TO 125 PROGRAM PARTICIPANTS WITH SERIOUS MENTAL ILLNESS AND AT LEAST ONE MAJOR OBSTACLE WHICH PREVENTS THEM FROM ACHIEVING A MAJOR LIFE GOAL. OVER 70% OF THE PARTICIPANTS ALSO HAVE A CO-OCCURRING SUBSTANCE ABUSE DISORDER FOR WHICH THEY ALSO RECEIVE TREATMENT WITHIN THE PROGRAM. THE PROGRAM IS REHABILITATIVE IN NATURE WITH A VARIETY OF MEDICAL, CLINICAL, VOCATIONAL AND SKILL BUILDING SERVICES PROVIDED INDIVIDUALLY OR IN GROUPS. PARTICIPANTS GENERALLY ATTEND THE PROGRAM 3-5 TIMES PER WEEK. IN 2013 THE AVERAGE CENSUS OF THE PROGRAM WAS 105 PARTICIPANTS TO WHOM WE ARE PROVIDING, ON AVERAGE, 2278 BILLABLE SERVICES PER MONTH. THE PROS PROGRAM ADMITTED 238 PARTICIPANTS IN 2013. THE EQUINOX OUTPATIENT SUBSTANCE ABUSE COUNSELING CENTER SERVES UP TO 150 CLIENTS WHO HAVE A SUBSTANCE USE DISORDER (SUD). APPROXIMATELY 70% ALSO HAVE A CO-OCCURRING MENTAL HEALTH DISORDER FOR WHICH THEY ALSO RECEIVE TREATMENT, ALTHOUGH THE MAJORITY DO NOT MEET THE CRITERIA FOR SERIOUS MENTAL ILLNESS. IN 2013 THE COUNSELING CENTER HAS PROVIDED 8,095 SERVICE UNITS TO CLIENTS. THESE SERVICES INCLUDE: ASSESSMENTS FOR TREATMENT, DWI ASSESSMENTS, NURSING ASSESSMENTS, INDIVIDUAL COUNSELING, GROUP COUNSELING, AND PSYCHIATRIC SERVICES, WHICH INCLUDE PSYCHIATRIC ASSESSMENTS, EVALUATION FOR MEDICATION AND MEDICATION MANAGEMENT AND REVIEW. ON AVERAGE THIS EQUATES TO 32 SERVICE SESSIONS PER DAY. AT THE END OF THE YEAR EQUINOX WAS NOTIFIED THAT THEY HAD BEEN AWARDED A THREE YEAR GRANT BY OMH "INTEGRATION OF PHYSICAL AND BEHAVIORAL HEALTHCARE" WHICH WOULD ALLOW FOR THE PROVISION OF PHYSICAL HEALTHCARE SERVICES WITHIN THE CLINIC AND PROS PROGRAMS. THIS INITIATIVE WILL BE A JOINT EFFORT WITH WHITNEY YOUNG HEALTH CENTER WITH THE INTENT OF IMPROVING THE PHYSICAL HEALTH OUTCOMES OF ADULTS WITH CHRONIC HEALTH CONDITIONS AND RISK FACTORS WHO RECEIVE SERVICES FROM THE CLINIC AND PROS PROGRAMS. THE TEAMS OF ALL THREE OUTPATIENT SERVICES ARE WORKING TOGETHER TO PROVIDE INTEGRATED SERVICES AND TO COORDINATE CARE TO INSURE OPTIMUM CLINICAL OUTCOMES. THESE EFFORTS HAVE ALSO INCLUDED JOINT STAFF TRAININGS, IMPLEMENTATION OF AN EVIDENCE BASED SUICIDE ASSESSMENT AND INTERVENTION PROTOCOL, AND PREPARATION FOR IMPLEMENTATION OF DSM 5 AND A NEW ELECTRONIC HEALTH RECORD.
