Governance Explanations

Form 990, Part VI, Section A, Line 6

The by-laws of the organization specify that they have no fewer than four members, including the ordinary of the roman catholic diocese of albany, the vicar general of the roman catholic diocese of albany, the director of catholic charities of the diocese of albany, and one person designated by the ordinary of the roman catholic diocese of albany. Each member's term is for one year or until a qualified successor is elected.

The members of the organization must approve by a three-fourths vote any of the following decisions by the board of directors: amendments of the corporation's certificate of incorporation, a change in the general character of the agency, the purchase, sale, mortgage, lease, disposal of or encumbrance of real property of the organization, sale of all or substantially all of the assets of the organization, merger, consolidation or dissolution, amendment of that section of the by-laws pertaining to the members, and any vote required of the organization's board of director's as sole member of the foundation for st. Catherine's center for children.

A draft copy of the form 990 is made available to the members of the corporation and to the entire board of directors. Final approval of the 990 is given by the executive and finance committee.

Form 990, Part VI, Section B, Line 12C

All employees are required to review and sign the organization's conflict of interest policy at hiring. The conflict of interest policy is also included in the organization's human resources practice manual, which is distributed to all employees at hiring. Employees are again required to review and sign the policy when the human resource manual is updated and distributed. Consultants and independent contractors are provided a copy of the policy each year when their contracts are renewed and signed. Members of the board of directors are annually required to review and sign the policy.

The last pay rate increase was reviewed and approved by the organization's executive and finance committee. There is also an ad hoc committee of the board of directors that has analyzed compensation data in the past from salary surveys conducted by the council of family and child caring and national alliance organizations. The committee used this data to establish an annual salary for the executive director. Since comparative data for other executive personnel is not generally available, the ad hoc committee sets salaries for this group as a percentage of that paid to the executive director.

MICHAEL'S HOUSE PROVIDES NEW AFFORDABLE, SUPPORTIVE HOUSING WITH AN ARRAY OF WRAP AROUND SERVICES FOR INDIVIDUALS OR FAMILIES. VARIOUS HOUSING AND HOMELESS SERVICES REACH PEOPLE IN ALBANY, RENSSELAER, COLUMBIA, AND SCHENECTADY COUNTIES.
