Form 990, Part VI, Section B, Line 11B

The organization engages an outside accounting firm to prepare its form 990 and has implemented a comprehensive review process to ensure that the information reported is both complete and accurate. Once the form 990 is prepared, it undergoes a detailed review by management before being presented to the organization by its outside tax professionals. This presentation is made to some of the members of the governing board and legal counsel. During this overview, a thorough review with a collaborative approach is conducted with questions raised and addressed throughout the discussion to clarify any uncertainties and to verify the integrity of the information reported. Following this review, the finalized form 990 is electronically sent to the board for formal approval. Upon receiving the board's approval and consent, the return is promptly filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers, and key person must annually sign a statement which affirms such person has: (a) received a copy of the conflict of interest policy, (b) read and understands the policy, (c) agreed to comply with the policy, (d)submitted a statement to the secretary identifying to the best of such individual's knowledge (i) any entity of which such individual is an officer, director, trustee, member, owner, or employee and with which the organization has a relationship, and (ii) any transaction in which the organization is a participant and in which the individual might have a conflicting interest, and (iii) any related party transactions, and(e) understands the fund is charitable and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Steps in determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she must leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members must decide if a conflict of interest exists. In no event can an interested person influence improperly the deliberation or voting on the matter giving rise to a conflict or possible conflict. Restrictions imposed on persons with a conflict: if the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it must inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

The rockefeller family fund's independent executive committee reviews all compensation matters. The committee meets annually to consider the performance of the director & secretary and, at regular intervals, consider comparable compensation data for ceos in charge of similar organizations. On the basis of the annual performance review and said compensation data, the committee establishes compensation for the director & secretary for the succeeding year. The committee also reviews the director & secretary's compensation recommendations for other key organizational staff. The committee maintains contemporaneous documentation of its proceedings, deliberations, and supporting material in the minutes. In 2024, rff engaged a consultant to conduct a compensation analysis of all rff staff, including executives. The consultant conducted a competitive market analysis of the total compensation, including by establishing a survey peer group against which to benchmark competitive total compensation for executives. The consultant found that rff's current total compensation for executives is reasonable and, therefore, in compliance with irc 4958. Recommendations for salary adjustments that the consultant provided were approved by the rff board of trustees.

FORM 990, PART IX, LINE 5 AND LINE 7:

The tioga fund and the rockefeller family fund (rff) have a shared services agreement, under which tioga fund pays rff for tioga's use of rff's personnel and other resources. Rff employs all personnel, who then provide services to the tioga fund as needed. The tioga fund provides funds to rff to cover the full costs of these services. There is no financial or economic control between the two entities. The tioga fund's president is also the president of rff. The tioga fund is tax-exempt under section 501(c)(4) of the internal revenue code. Its mission is to develop and implement advocacy strategies to advance climate change solutions, address women's economic inequality, improve the nation's democratic institutions, and protect citizens' civil liberties. Rff billed tioga fund $46,904 for 2024 services under the agreement.

ENVIRONMENT: THE FUND FOCUSES ITS ENVIRONMENT PROGRAM ALMOST EXCLUSIVELY ON CLIMATE CHANGE. OUR PROGRAM EMPHASIZES PUBLIC EDUCATION ON THE RISKS OF GLOBAL WARMING AND IMPLEMENTATION OF SOUND SOLUTIONS TO ACCELERATE THE TRANSITION TO A CLEAN ENERGY ECONOMY. THE FUND DEVELOPS INITIATIVES TO ASSURE THAT FOSSIL FUEL COMPANIES DO THE LEAST AMOUNT OF HARM TO COMMUNITY HEALTH AND COMPLY WITH ALL RELEVANT LOCAL, STATE, AND FEDERAL LAWS AND REGULATIONS DURING THE EXTRACTION, TRANSPORT, AND EXPORT OF FOSSIL FUELS; MAKE RESPONSIBLE CLIMATE POLLUTERS PAY FOR THE DAMAGE THEY HAVE CAUSED; ENACT POLICIES AT THE STATE AND NATIONAL LEVELS TO REDUCE CARBON EMISSIONS; BRING NEW VOICES INTO THE CLIMATE DEBATE; AND EXAMINE HOW SPECIAL INTERESTS ARE DISTORTING SCIENCE AND DELAYING CONSTRUCTIVE STEPS TO DEAL WITH THE UNFOLDING CLIMATE CRISIS.DEMOCRACY: THE FUND'S DEMOCRACY PROGRAM USES RESEARCH AND PROGRAM INNOVATION TO SUPPORT STATE-BASED MULTIRACIAL CIVIC ORGANIZATIONS IN THEIR NONPARTISAN WORK TO STRENGTHEN THEIR ORGANIZING STRATEGIES AND PRACTICES, WITH THE GOAL OF HELPING THOSE ORGANIZATIONS BUILD AND ADVANCE POSITIVE CHANGE WITHIN THEIR COMMUNITIES.ECONOMIC JUSTICE FOR WOMEN: THE FUND WORKS TO PROMOTE ECONOMIC EQUITY FOR WOMEN BY MAKING A FAMILY-FRIENDLY ECONOMIC AGENDA A PRIORITY FOR STATE AND FEDERAL OFFICIALS.
