“There shall be an executive committee consisting of the officers of the board, the audit and finance committee chair, the nominations committee chair, governance and culture chair, development chair and up to two at-large members of the board of directors may be appointed (subject to need), to be elected in accordance with section 2 of this article, and the president and ceo. The chair of the board shall be the chair of the executive committee. The president and ceo shall be entitled to notice of, to attend and to participate in all meetings of the committee (other than executive sessions as determined by the chair or a majority of voting members) but shall not be entitled to vote or be counted in the computation of a quorum. The executive committee shall have and may exercise all the authority of the board of directors in the management of the business and affairs of the corporation (including, without limiting the generality of the foregoing, the powers of the board of directors as specified in these bylaws), between meetings of the board, except that no such committee shall have any authority with respect to any of the following matters: (i)the filling of vacancies in the board of directors or in any committee; (ii) the amendment or repeal of these bylaws; (iii) the election or appointment of any officer or director, or removal of any officer or director; (iv) the amendment or repeal of any resolution of the board of directors which by its terms shall not be so amendable or repealable; (v) the approval of a merger or plan of dissolution; (vi) the authorization of the sale, lease, exchange or other disposition of all or substantially all the assets of the corporation; or (vii) the approval of amendments to the corporation's certificate of incorporation.”

“The form 990 is prepared by an independent accountant and is then reviewed by the audit committee in detail. Once it has passed their approval, the information return is provided to the full board of directors for their review. The board is asked to comment after receiving the form 990. If no comments are received within one week, the form 990 is filed with the internal revenue service as approved.”

“Officers and directors are asked to respond to the conflict of interest policy annually by completing questionnaires all open items are reviewed. Additionally, any conflicts that arise in the interim are to be reported to the board chair immediately.”

“The organization uses the following to establish the compensation of its ceo: 1) form 990 of other organizations, 2) approval by the board or compensation committee.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
