Mission

The society is an organization of scientists dedicated to the development and application of new technologies in molecular pathology, and cell biology and to the education of scientists in the use of these technologies through education and outreach to investigate.

The histochemical society is an organization of scientists sharing a passion for the development and use of visual techniques that provide biochemical and molecular information about the structure and function of cells, tissues, and organs and for the dissemination of this knowledge through education and outreach. The society fulfills its mission through publishing its journal, the journal of histochemistry and cytochemistry, and through the management of annual meetings and short courses. Biographic, demographic, and scientific diversity in governance is an overarching goal of the histochemical society. The hcs council seeks to appoint members to committees who represent this diversity.

Yes, the society consists of 147 members.

Form 990, Page 6, Part VI, Line 7A

Nominations shall be made by the nominating committee who shall present each year a slate of candidates to the society business office no later than three months prior to the end of the calendar year. The executive director of the society shall supervise the preparation of an official ballot containing the selections of the nominating committee. A copy shall be sent to each member of the society no later than two months prior to the beginning of the annual meeting. The ballots shall be returned, preferably by email not later than one month prior to the end of the calendar year. The president shall appoint teller(s) to count the ballots. The candidate receiving the largest number of votes for each office is elected. In the event of a tie ballot for any office, council shall determine the outcome by voting at least one week prior to the end of the calendar year.

The form 990 is prepared by an independent cpa and is reviewed by the finance committee, who monitors and supervises all financial affairs of the society. The council performs a second review and signs the form 990.

Officers and councilors of the society have resolved that no member of the council, or staff of the society shall participate in any discussion or vote on any matter in which he or she or a member of his or her immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. The society requires that all authors of a submitted manuscript disclose to the jhc editorial office any potential conflicts of interest they may have in relation to the content of the manuscript, including (but not limited to) employment by the sponsoring agency, consultancies, stock ownership, equity interest or patent-licensing arrangements. The society expects reviewers and editors to disqualify themselves from participating in the peer review of a manuscript when they have a close personal or professional relationship with any of the authors, or when a negative judgment of the contents of a submitted paper would enhance or benefit their own research program and reputation.

The council has a compensation committee which researches comparable compensation for the executive director. A performance review is performed annually. Based on this information, the compensation committee recommends salary increases, when appropriate, to the council for approval.

THE EXECUTIVE DIRECTOR OF THE SOCIETY SHALL SUPERVISE THE PREPARATION OF AN OFFICIAL BALLOT CONTAINING THE SELECTIONS OF THE NOMINATING COMMITTEE. A COPY SHALL BE SENT TO EACH MEMBER OF THE SOCIETY NO LATER THAN TWO MONTHS PRIOR TO THE BEGINNING OF THE ANNUAL MEETING. THE BALLOTS SHALL BE RETURNED, PREFERABLY BY EMAIL NOT LATER THAN ONE MONTH PRIOR TO THE END OF THE CALENDAR YEAR. THE PRESIDENT SHALL APPOINT TELLER(S) TO COUNT THE BALLOTS. THE CANDIDATE RECEIVING THE LARGEST NUMBER OF VOTES FOR EACH OFFICE IS ELECTED.
