Governance Explanations

Form 990, Part VI, Section A, line 6

Section I. The Association shall consist of Russian emigrants who, before March 15, 1917, belonged to the Russian Gubernatorial Nobility Association and their descendants and persons who, on the strength of Vol. IX of the code of Laws of the Russian Empire, before the aforesaid date, had the uncontestable right to be admitted to the Russian Nobility. Section 2. The members of the Association shall consist of (4) classes: (a) Voting Members; (b) Associate Members; (c) Lineage Affiliates; and (d) Colleagues. Section 3. Voting Members of the Association shall consist of persons fitting the description contained in Section 1 of this Article 3 of the present By - Laws, of both sexes, who have attained the age of eighteen (18) and are current in dues payments and otherwise in good standing with the Association. Section 4. Associate Members shall consist of those persons who have attained the age of eighteen (18) and whose mother and/or grandmother would be eligible for voting membership in the Association. Associate Members are also entitled to vote. Section 5. Lineage Affiliates shall consist of those persons who have attained the age of eighteen (18) and who would be eligible for Associate membership beyond the one - generation limit. Lineage Affiliates will not be entitled to vote. Section 6. Colleagues will consist of those individuals who through their efforts and activities support the ideals of the organization, are related to other members, or who otherwise support the Association. Colleagues will not be entitled to vote. Section 7. (a) Every Voting Member and Associate Member in good standing with the Association shall be entitled to cast a vote in all balloting at any General Corporate Meeting or Special Corporate Meeting. (b) Any Voting Member or Associate Member of the Association unable to attend a General Corporate Meeting shall have the right to delegate, in writing, their vote to another member. No member shall be allowed to cast more than three votes by proxy, over and above their own vote. Section 8. All applicants for Voting or Associate Membership, answering the requirements stated in Article 3, Section 1 of the present By - Laws, shall submit their applications in writing, addressed to the Board of Directors. They shall fill out and sign two special forms of application, which include genealogical information and remit payment of the established admission fee and the first year membership fee. (Note: The application form shall contain a paragraph to the effect that the applicant is acquainted with the By-Laws of the Association and that they agree to abide by said By-Laws.) All other applicants shall submit a standard form of application to the Board of Directors with the appropriate remittance attached. Section 9. Admission to Voting, Associate and Lineage Affiliate membership shall be determined by a majority vote of the Board of Directors. Admittance of Colleagues shall require a two thirds voice of the Board of Directors. Section 10. It shall be the exclusive duty of an applicant for Voting, Associate or Lineage Affiliate membership to produce, within a reasonable period of time, all proof of and any additional information pertaining to their affiliation with the Nobility that may be requested of them by the Board of Directors. Section 11. In the event that any candidate is rejected by the Board of Directors, the candidate shall be notified of the decision without stating the reason for such rejection, and all documents shall be returned together with any payment submitted. Section 12. The list of members admitted during the previous year shall be announced at the following General Corporate Meeting.

The Organization is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The Organization qualifies for the charitable contribution deduction under Section 170(b)(1)(A) and has been classified as an organization other than a private foundation under Section 509(a)(2). As of December 31, 2024, management has determined that there are no significant uncertain tax positions requiring recognition in the Organization's financial statements.

IRS990/Desc0Since 1933, the primary purpose of the Russian Nobility Association in America has been to raise funds to aid Russians that require assistance, wherever they may be, whenever they are in need.As a result of over 80 years of these efforts, the Russian Nobility Association in America has a wide network of charities and assistance programs that depend upon our continued support.Our primary fundraising activity is the annual Spring Ball which provides a significant percentage of our annual operating budget, as well as our annual fund for distribution. In other words, the more money we generate, the more we are able to give freely.CHILDRENThe Russian Nobility Association supports children through its work with struggling orphanages and children's hospitals in Russia, in Europe, and in the United States, as well as providing support to scouting and educational programs for young people.THE ELDERLYThe Russian Nobility Association has long supported the needs of the older members in our community through assistance to nursing homes, hospitals, and clinics that provide much needed care to the elderly and infirm.CULTURE AND EDUCATIONThrough its own scholarship program, the Russian Nobility Association helps provide funds for worthy students with exceptional qualifications who seek to further their education.The Association also raises funds through its annual series of lectures, which promote Russian History, Russian Culture, and address topics of contemporary interest regarding Russia and the countries of the former Russian Empire.

The Association shall consist of Russian emigrants who, before March 15, 1917, belonged to the Russian Gubernatorial Nobility Association and their descendants and persons who, on the strength of Vol. IX of the code of Laws of the Russian Empire, before the aforesaid date, had the uncontestable right to be admitted to the Russian Nobility. Section 2. The members of the Association shall consist of (4) classes: (a) Voting Members; (b) Associate Members; (c) Lineage Affiliates; and (d) Colleagues. Section 3. Voting Members of the Association shall consist of persons fitting the description contained in Section 1 of this Article 3 of the present By - Laws, of both sexes, who have attained the age of eighteen (18) and are current in dues payments and otherwise in good standing with the Association. Section 4. Associate Members shall consist of those persons who have attained the age of eighteen (18) and whose mother and/or grandmother would be eligible for voting membership in the Association. Associate Members are also entitled to vote. Section 5. Lineage Affiliates shall consist of those persons who have attained the age of eighteen (18) and who would be eligible for Associate membership beyond the one - generation limit. Lineage Affiliates will not be entitled to vote. Section 6. Colleagues will consist of those individuals who through their efforts and activities support the ideals of the organization, are related to other members, or who otherwise support the Association. Colleagues will not be entitled to vote. Section 7. (a) Every Voting Member and Associate Member in good standing with the Association shall be entitled to cast a vote in all balloting at any General Corporate Meeting or Special Corporate Meeting. (b) Any Voting Member or Associate Member of the Association unable to attend a General Corporate Meeting shall have the right to delegate, in writing, their vote to another member. No member shall be allowed to cast more than three votes by proxy, over and above their own vote. Section 8. All applicants for Voting or Associate Membership, answering the requirements stated in Article 3, Section 1 of the present By - Laws, shall submit their applications in writing, addressed to the Board of Directors. They shall fill out and sign two special forms of application, which include genealogical information and remit payment of the established admission fee and the first year membership fee. (Note: The application form shall contain a paragraph to the effect that the applicant is acquainted with the By-Laws of the Association and that they agree to abide by said By-Laws.) All other applicants shall submit a standard form of application to the Board of Directors with the appropriate remittance attached. Section 9. Admission to Voting, Associate and Lineage Affiliate membership shall be determined by a majority vote of the Board of Directors. Admittance of Colleagues shall require a two thirds voice of the Board of Directors. Section 10. It shall be the exclusive duty of an applicant for Voting, Associate or Lineage Affiliate membership to produce, within a reasonable period of time, all proof of and any additional information pertaining to their affiliation with the Nobility that may be requested of them by the Board of Directors. Section 11. In the event that any candidate is rejected by the Board of Directors, the candidate shall be notified of the decision without stating the reason for such rejection, and all documents shall be returned together with any payment submitted. Section 12. The list of members admitted during the previous year shall be announced at the following General Corporate Meeting.
