“The board is required to disclose any conflicts of interest. Conflicts of interest statements are signed annually by each board member. In addition, board members have the obligation to update the conflict of interest statements if circumstances change during the year. In the event of a conflict, the individual involved will recuse themselves from any vote on the matter.”

“The form 990 was due to be filed with the internal revenue service prior to the time the organization's audited financial statements were issued. As the audited statements have now been issued, the organization is amending the 2014 form 990 to agree to the audited financial statements. The statement of revenues, functional expense schedule, balance sheet, and other changes in net assets were impacted. In addition, the following informational items were updated in the core form or in the supplemental schedules to form 990: 1. On page 1, the principal officer was updated and the number of independent board members was reduced from 21 to 20 as the president/ceo is a voting board member. 2. Part vi, section a, questions 4, 6, 7a, and 7b were updated to reflect a bylaw change that occurred during the fiscal year. Schedule o narratives related to these questions were also updated. The organization previously had members but this was changed and the organization now is a board governed organization. 3. Part vii, column f was updated to include additional nontaxable benefits that were excluded in error on the original return and one individual that was previously listed as a highest compensated employee was reclassed to an officer as the organization's chief financial officer. Schedule j was also updated as a result of the additional compensation figures for nontaxable benefits. 4. Schedules a and d were updated to reflect changes that were a result of adjustments made by the issued audited financial statements. 5. Schedule i was updated to include the number of 501(c)(3) organizations that received grants during the year.”

“During fiscal year 2011 the organization began the process of centralizing the accounting and finance functions of its local affiliate organizations through the creation of the national service center. The national service center standardized local accounting policies and processes. Consistent with this change and with the goal of building greater efficiencies and increasing member charity support, the board of directors of the organization voted on may 20, 2014 to proceed with acquisition negotiations with the local affiliate organizations. During the year ended june 30, 2015, the organization acquired twenty-three of its local affiliate organizations. As part of these acquisitions, the organization assumed all assets and liabilities of the acquired local affiliate organizations, resulting in a one-time increase in net assets in the amount of $9,940,837. All other local affiliates have entered into merger negotiations and their ultimate consolidation into the organization is expected in future fiscal years.”
