Governance Explanations

Form 990, Part VI, Section A, Line 4

The following changes were made to the organization's bylaws: 1. Term limits for directors was increased from one year to three years. In addition, limits were established to limit board members to two consecutive three year terms. 2. The directors shall be divided into three classes, each class consisting of one-third (1/3) of the number of such directors as nearly as possible; the terms of directors in the first class shall expire after one (1) year; the terms of directors in the second class shall expire after two (2) years; and the directors in the third class shall serve a full three-year term. Thereinafter, all terms shall be for three years.

Form 990, Part VI, Section B, Line 11B

Reader's digest partners for sight foundation diligently ensures the accuracy and completeness of its form 990 by engaging an external accounting firm to handle the preparation. To maintain a robust review process, the foundation has established the following steps: after form 990 is prepared, it undergoes a thorough review by the audit committee. The committee carefully examines the document to identify any potential discrepancies or areas that require further attention. Following the audit committee's review, any comments or suggestions are promptly communicated to the external accountants. If necessary, revisions are made to address these comments, ensuring the accuracy and clarity of the reported information. The revised form 990 is then electronically circulated among the board members for their review and input. Board members, being integral to the foundation's governance, have an opportunity to offer their insights and observations. Any additional comments provided by the board members are conveyed to the external accountants for consideration. Once all comments have been duly addressed, form 990 is finalized and approved for filing with the internal revenue service. By following this rigorous process, rdpfs upholds its commitment to transparency and accountability, reinforcing its dedication to the communities it serves and the donors who support is vital mission.

Form 990, Part VI, Section B, Line 12C

To ensure transparency and uphold the highest ethical standards, board members, officers, and key individuals are required to carefully read and acknowledge the "conflict of interest" policy annually. They must complete a form disclosing any potential conflicts of interest that might arise in their capacity with the organization. The executive director oversees the collection of these forms and shares the relevant information with the board chair. If a conflict of interest emerges, the full board is promptly notified to address the matter responsibly. Should a potential conflict of interest pertain to a grant decision or any other issue requiring board action, the involved board member or staff member is responsible for bringing it to the attention of the board. It is essential that they do not attempt to exert personal influence in connection with the matter, and if they are a board member, they should refrain from participating in the voting process. If a board member is disqualified from voting due to a possible conflict of interest, appropriate steps are taken to maintain fairness and objectivity in the decision-making process. The organization values integrity and accountability above all else, fostering an environment of trust and dedication to its mission. By adhering to these procedures, the organization ensures that the best interests of its beneficiaries and stakeholders are always at the forefront of its actions.

Form 990, Part VI, Section B, Line 15A

The organization has a process in place for determining the compensation of its executive director, who started with the organization on june 28, 2021, which includes the following: 1. Review and approval of the compensation arrangement by the compensation committee, which is comprised of independent members, 2. Use of comparable data obtained through an executive compensation survey, 3. Documentation of the deliberations and decisions regarding the compensation arrangement.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is available on the new york state attorney general's website, guidestar.org and other similar types of websites. In addition, the conflict of interest policy, articles of incorporation and by-laws are also available upon written request or by calling the organization directly.
