Ata's mission is to promote the recognition of professional translators and interpreters, to facilitate communication among its members, to establish standards of competence and ethics, to provide its members with professional development opportunities, and to advocate on behalf of the professions.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the elected officers of the association; i.e. The president, president-elect, secretary, and treasurer (all four of whom shall be voting members of the executive committee), and a nonvoting staff member approved by the board of directors. The executive committee has such policymaking and executive authority as may be vested in it by the board of directors, except that it shall have no authority in the following matters: a. Submission to members of any action requiring members' approval; b. The filling of vacancies in the board of directors or executive committee; c. Other matters expressly prohibited by statute. The executive committee shall consist at all times of three or more directors and it shall have and exercise the authority of the board of directors in management of the association; but the delegation thereto of authority shall not operate to relieve the board of directors, or any individual director, of any responsibility imposed upon them by law. The executive committee may act in between meetings of the board.

The membership of the association shall consist of the following eight classes: active, corresponding, associate, student, institutional, corporate, life, and honorary.

The active members are deemed to be voting members with the right to vote for board members, serve on the board of directors, make bylaw changes, and serve on committees.

A copy of the form 990 prepared by an outside public accounting firm based on input and information provided by management. Once the return is complete, management carefully reviews the filing, recommends changes and approves the return. The return is then provided to each member of the board for review prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is enforced by the executive committee. Any violations are immediately addressed and proper action is taken. The matter is addressed with the party in conflict. The committee will decide on the appropriate action to take depending upon the conflict such as preventing the individual from participating in an event or deciding upon a issue. Under normal circumstances, the issue is resolved at this level. If the matter becomes escalated beyond the comfort of the committee, corporate counsel will mediate the issue at hand to resolution.

The executive committee determines the compensation of the executive director using independent market data as references. They also perform annual performance evaluations for the executive director. This was most recently undertaken in 2014. The executive director approves the compensation for other officers and key employees. The executive director uses relevant hr resources as a tool to ensure that fair compensation is extended to all staff. This was most recently undertaken in 2014.

Financial Statement Notes

PART X, LINE 2:

The association is exempt from federal income tax under section 501(c)(6) of the internal revenue code, except on net income from activities unrelated to its exempt purpose. Afti is exempt from federal income tax under section 501(c)(3) of the internal revenue code, except on net income from activities unrelated to its exempt purpose. Afti has been determined to be a supporting organization to the association under section 509(a)(3). For the years ended june 30, 2014 and 2013, no accrual for income taxes was necessary. The organization adopted a policy that clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements. The policy prescribes a recognition threshold and measurement principles for the financial statement recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The implementation of this policy had no impact on the organization's consolidated financial statements. The organization's tax returns are subject to review and examination by federal, state and local authorities. The tax returns for the fiscal years ended june 30, 2011, 2012, and 2013 are open to examination by federal, local and state authorities.
