“The lewisboro library maintains a written conflict of interest policy adopted by the board of trustees, which is available here: https://lewisborolibrary.org/about/policies/. The policy applies to all trustees, officers, employees, and key volunteers, and defines the standards for identifying, disclosing, and managing any potential or actual conflicts between personal interests and the interests of the library. Annual disclosure process: each board member is required to complete an annual conflict-of-interest disclosure statement identifying any affiliations, financial interests, or relationships that could give rise to a conflict. These disclosure forms are collected and maintained by the library director and reviewed by the board president or her designee. Any newly identified conflicts or updates must also be reported as they arise during the year. Ongoing monitoring and board oversight: when a potential conflict is disclosed on the annual disclosure statement or in connection with a matter being discussed by the board, the matter is brought to the attention of the whole board. The board determines whether a conflict exists and, if so, whether the contemplated transaction or arrangement is fair, reasonable, and in the best interest of the library. The interested individual may provide factual information related to the transaction/arrangement/matter, but is not permitted to vote or participate in the board's deliberations on the matter. We had one conflict of interest arise this year - the board member with the potential conflict flagged the conflict for the board, in line with our policy, and the board proceeded to make the determination (a bonus for our fair coordinator) without involvement from the board member with the conflict. Policy maintenance: the conflict of interest policy is included in the library's governance policy manual, published on the library's website, and reviewed periodically by the board's to ensure continued compliance with new york state requirements.”
