“Between the meetings of the Board of Trustees, its powers and duties shall be exercised and performed by the Executive Committee consisting of the Chairman of the Board, the Vice Chairman of the Board, the Secretary, the Treasurer and two trustees who shall be elected by the Board of Trustees. The Executive Committee shall not elect or remove trustees, officers, or members of committees of the Corporation; authorize, in the aggregate, an increased expenditure greater than 10% of the annual budget as approved by the Board of Trustees; sell or otherwise dispose of a principal asset of the Corporation other than in the normal course of investment and reinvestment decisions; authorize a merger, dissolution, or liquidation of the Corporation; or amend the Corporation's Certificate of Incorporation or the By-laws.”

“All FEE Trustees and executive officers are covered by a conflict of interest policy that is reviewed annually by the Board's Executive Committee, which determines conflicts. Section 4 of the policy details how to address persons with conflicts, as follows: a. An interested person may make a presentation at the Board or Executive Committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. b. The Chairperson of the Board or Executive Committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. c. After exercising due diligence, the Board or Executive Committee shall determine whether FEE can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the Board or Executive Committee shall determine by a majority vote of the disinterested trustees whether the transaction or arrangement is in FEE's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.”

“The Organization's Performance and Compensation Committee establishes criteria for the evaluation of the President's performance, conducts a review of the President's performance for each fiscal year, and submits a recommendation to the Board of Trustees at the annual meeting with respect to the President's compensation. This is reviewed, deliberated and decided by the Board of Trustees.”
