Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the finance committee and audit committee for review and comment. It is then electronically sent to the full board. The board then ratifies the filing by resolution duly proposed and adopted at its next scheduled board meeting.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all trustees, international advisory council members, employees and volunteers. If the hispanic society engages in an activity where there is a possible conflict of interest between the hispanic society and an outside or personal interest of a trustee, the outside interest of the trustee shall be disclosed immediately to the entire board of trustees and shall be recorded in the minutes of meetings of the board. This disclosure shall also apply if the outside or personal interest involves a person close to the trustee, such as an affiliate of the trustee. Any decision by the hispanic society to use the professional or contractual services of a trustee shall be based on the informed consent of a disinterested majority of the board of trustees of the hispanic society. In all such cases, the minutes of the board of trustees shall reflect the basis for the board's business judgment and the considerations taken into account in rendering such a decision to use the professional or contractual services of a trustee.

Form 990, Part VI, Section B, Line 15

The compensation committee shall review and recommend to the board the annual salary and other benefits included in the compensation of the executive director, as well as any other employees who may be specifically designated for that purpose by the board. Neither the executive director, nor any employee of the hispanic society may serve on the compensation committee. Comparability data is used from similar organizations such as comparable museums. This policy was last undertaken in 2024 and was documented in the board minutes.

Additional Explanations

FORM 990, PART I, LINE 5, AND PART V, LINE 2A:

The organization contracted with a professional employer organization (peo) for services, including but not limited to, payroll, timekeeping, employee benefits, hr administration and workforce regulatory compliance needs. As the employer of record for tax purposes, forms w-2 and w-3 are issued by the peo and filed under the peo's federal ein. In this co-employment arrangement, the organization is the common law employer and, accordingly, compensation is reported on form 990, part vii, section a and part ix, lines 5-10.

FORM 990, PART XI, LINE 9:

Pension liability adjustment 2,066,077. Net periodic pension cost -443,655. Write-off of uncollectible pledges -520,000.

FORM 990, PART XII, LINE 2C:

The organization has a committee that is responsible for the oversight of the audit of its financial statements and the selection of an independent accountant. This process has not changed from the prior year.

Financial Statement Notes

PART III, LINE 1A:

The society's collections are primarily made up of books, manuscripts, paintings and artifacts. The collections are not recognized as assets on the statement of financial position, which is permissible under generally accepted accounting principles. Purchases are recorded as decreases in unrestricted net assets in the year in which the items are acquired. Contributions of collection items are not reflected on the financial statements.

PART III, LINE 4:

The hispanic society of america offers a comprehensive survey of spanish paintings and drawings from the middle ages to the present, with particular strengths in that of the spanish golden age (1550-1700), the nineteenth century, and the early twentieth century. The department of manuscripts and rare books offers unparalleled resources for researchers interested in the history and culture of spain and the americas. Over 200,000 manuscripts, documents, letters and maps spanning over 1,000 years include works as diverse as medieval royal charters and chronicles, early hebrew bibles and manuscripts, cartographic landmarks such as the vespucci world map of 1526, as well as grammars and vocabularies of the indigenous languages of the americas. Its 15,000 books printed before 1701 contain some 250 incunabula (books printed before 1500) as well as unique copies and first editions of many of the most significant works in spanish literature and history. Imprints from the new world including volumes from mexico city, puebla, lima, and guatemala, comprise an important part of the library. In addition to rare books, the hispanic society maintains a research library on the literature, fine arts, geography, history, and cultures of spain, portugal, latin america, and the philippines, comprising over 250,000 titles plus periodicals. The hispanic society's collection also contains a significant selection of islamic and christian sculpture dating from the middle ages to the early 20th century. The comprehensive collection of textiles, one of the finest in the world, attests to the richness of this art in the iberian peninsula from the 14th to the early 20th century.

PART V, LINE 4:

Substantially all investments are part of the society's restricted endowment or unrestricted board designated funds functioning as an endowment, collectively called the "endowment". The society's endowment consists of various individual gifts established primarily to support the mission of the society. As required, net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

The society recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the society had no uncertain tax positions that would require financial statement recognition or disclosure. The society is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to fiscal 2021.

IN THE GALLERIES, BOTH THE COLLECTIVE DOMINICAN YORKS AND ENRIQUE MARTINEZ CELAYA ENGAGED IN MEANINGFUL DIALOGUE WITH HISTORICAL PIECES FROM THE PAINTING COLLECTION, BRIDGING PAST AND PRESENT, LOCAL AND GLOBAL. FULLY INTEGRATED INTO THE WIDER MUSEUM COMMUNITY, THE HSM&L PARTICIPATED IN THE INTERNATIONAL PICASSO CELEBRATION YEAR AND ORGANIZED AN IN-DEPTH DOSSIER EXHIBITION, PICASSO AND THE SPANISH CLASSICS, WHILE CONTRIBUTING TO SYMPOSIA, PANEL DISCUSSIONS, AND PROGRAMS.MODERN LIBRARYTHIS FISCAL YEAR STAFF FOCUSED ON THE MODERN LIBRARY ASSESSMENT PROJECT BEGUN IN THE PREVIOUS YEAR, WHICH SEEKS TO DETERMINE COLLECTIONS SIZE, LOCATIONS, SUBJECT COVERAGE, GROWTH AND SPACE NEEDS. COMPLETED: LOCATIONS, SHELF LIST COUNTS, AND PHYSICAL INVENTORY OF ALL MODERN LIBRARY MONOGRAPHS.THE LIBRARY CONTINUED WELCOMING READERS THURSDAY THROUGH SATURDAY, FROM 12:00P.M.3:30P.M. FROM OCTOBER 2023 THROUGH SEPTEMBER 2024 (EXCLUDING THE MONTH OF AUGUST WHEN THE READING ROOM IS CLOSED), THE READING ROOM RECEIVED 270 READERS. THIS YEAR MOST READERS CAME FROM NEW YORK AND OTHER US STATES, THE REMAINDER FROM EUROPE AND LATIN AMERICA. MATERIALS CONSULTED INCLUDED 512 MANUSCRIPTS, 446 PRINTED BOOKS (FROM RARE BOOK DEPT.), 83 MODERN BOOKS, 3 REFERENCE VOLUMES AND 1 PERIODICAL.DEPARTMENT OF MANUSCRIPTS AND RARE BOOKSTHE MANUSCRIPTS AND RARE BOOKS DEPARTMENT GAVE PRESENTATIONS TO CLASSES FROM VARIOUS UNIVERSITIES (FORDHAM, COLUMBIA, BARNARD, YESHIVA, COLGATE, AMONG OTHERS), TO COLLECTORS, AND BIBLIOPHILE GROUPS. IN ALL, 28 SUCH PRESENTATIONS WERE GIVEN.THE DEPARTMENT ALSO FOCUSED ITS EFFORTS ON THE PROVISIONAL CATALOGING OF PRINTED MATERIAL DATED 1701-1830 WHICH WAS LOCATED IN THE AUDUBON TUNNEL STACKS. IN THE PAST YEAR, THEY CATALOGED 520 TITLES AND APPROXIMATELY 200 MANUSCRIPTS, UNCATALOGUED ACQUISITIONS DATING BACK TO THE PERIOD 1910-1916. THEY ALSO CONTINUED TO MANAGE THE OPERATION OF THE LIBRARY'S COPYING AND REPRODUCTION SERVICE, SCANNING APPROXIMATELY 2,000 IMAGES.CONSERVATION DEPARTMENTTHE CONSERVATION DEPARTMENT DEDICATED MUCH OF ITS TIME THIS FISCAL YEAR TO PREPARING FOR AND INSTALLING EXHIBITIONS BOTH WITHIN THE HSM&L AND FOR EXHIBITIONS ORGANIZED BY OTHER MUSEUMS AND INSTITUTIONS, ALL LISTED BELOW.
