“The following changes were made to the organization's bylaws: article ii, purposes: changes purpose to "those who use wheeled mobility aids," but includes sci and wheelchair-using veterans. We have eliminated vetsfirst and the vso obligation. Article iv, board of directors, section 3.2.e: we need to have a discussion of term limits; this is where it would appear in the bylaws.”

“One chapter liaison shall serve on the board and be appointed by a majority vote of the chapters of the corporation.”

“Management reviews the 990 and all officers and directors are sent a draft copy of form 990. Comments are sent to the president/ceo. Replies are sent to the respective officer or director and the form 990 is changed as necessary.”

“The secretary of the corporation shall distribute annually to all directors and officers a form soliciting the disclosure of all conflicts of interest, including specific information concerning the terms of any contract or transaction with the corporation and whether the process for approval has been followed. Following receipts of information concerning a contract or transaction involving a potential conflict of interest, the board shall consider the material facts concerning the proposed contract or transaction, including the process by which the decision was made to recommend entering into the arrangement on the terms proposed. The board shall approve only those contracts or transactions in which the terms are fair and reasonable to the corporation and the arrangements are consistent with the best interests of the corporation. The board shall set forth the basis for its decision with respect to approval of contracts or transactions involving conflicts of interest in the minutes of the meeting at which the decision is made.”

“The board reviews the president/ceo's compensation during the yearly budgeting process and uses salary surveys for the compensation review. Compensation of other officers and key employees is reviewed by a four board member committee, which utilizes nonprofit compensation surveys. Contemporaneous substantiation of the deliberations and decisions are maintained.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. The organization also makes its financial statements available on its website - www.unitedspinal.org.”
