Governance Explanations

The 990 was prepared by the outside accountants and reviewed in detail by senior management. Nib's audit and ethics committee, a subcommittee of the board of directors, then reviewed the draft. Finally, nib provided the final 990 to all directors before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each employee and director is required to review the conflict of interest policy annually and certify that he/she understands the policy and is in compliance with it. Employees and directors are required to report any alleged criminal conduct or violations of the conflict of interest policy to one of nib's three compliance officers, or to the external nib compliance service provider. Persons who submit their concern to a nib compliance officer or to the external nib compliance service provider have the option of remaining anonymous. The compliance officers conduct internal investigations, involving the nib board audit and ethics committee as appropriate. The compliance officers have the authority to trigger law enforcement or other regulatory inquiries as appropriate.

For the ceo, the board of directors of nib sets compensation based on: 1) information provided by periodic compensation surveys conducted by outside consultants; 2) other published compensation data; and 3) guidance from nib's board of directors. All the information is documented in board minutes.
