The UMCS is a multi- faceted service organization that addresses the educational, spiritual, recreational and social needs of persons of all ages and all faiths by providing operational grants for churches and social service programs in the metro region. UMCS provides administrative and entrepreneurial coaching for pastors and lay leaders that enable churches to respond to the needs of individuals and families in their communities. Programs supported by the UMCS include after-school programs, food pantries, soup kitchens, residential addiction treatment centers, retreat facilities, senior centers and summer camps.

UMCS helps other not for profit and religious institutions to identify the needs of children, youth and adults, and help them to establish programs and support to meet the requests of their local communities in ways that transform lives. UMCS focuses the local mission concerns of area congregations on specific needs and projects while building their capacity to make a significant difference in the lives of individuals, neighborhoods and their communities. UMCS supports programs designed to improve the quality of life in a community and impact the lives of individuals in that neighborhood.

Governance Explanations

Form 990, Part VI, Section A, line 2

One board member, Mr. James Perkin, Esq., as Chancellor of the New York Annual Conference (NYAC) of the United Methodist Church is considered to have an ongoing business relationship with certain other Board members, including the Resident Bishop of the NYAC, Thomas Bickerton and the Rev. Sungchan Kim, Rev. Julia Yim, Rev., and Rev. Simeon Law, who serve as Superintendents of districts within the NYAC. Further, other board members including the Revs. Leo Curry, Richard Hayes, Wendy Modeste, Suhee Kim, T. Anne Daniel, Noel Chin, Sara Giron-Ortiz, Matthew Curry, Denise Smartt Sears, William Shillady and Mr. James Perkins, are serving in various church appoinments approved by the NYAC Resident Bishop and the above mentioned District Superintendents.

Form 990, Part VI, Section B, line 11B

The management of the UMCS prepares its form 990. Management has established the following review process to ensure that the information reported is complete and accurate: When the form 990 has been prepared, reviewed by management and is ready to be filed with the Internal Revenue Service, it is submitted electronically to members of the organization's audit committee for any comments prior to it submission. UMCS's independent auditors also get sent an electronic copy for them to review / make comments. Feedback from the Audit Commitee and the auditors are received. Each issue is documented and addressed before the filing of the return.

Form 990, Part VI, Section B, line 12C

The UMCS currently has in place a conflict of interest policy which it annually monitors and enforces. Both prior to his/her initial hire/election and annually thereafter, each principal officer and members of the board of directors or a board committee with the board of directors delegated powers, shall annually sign and submit to the secretary, a statement which affirms, to the best of his/her knowledge, such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, knows of no undisclosed conflicts, and understands the Organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. The secretary shall provide copies of all such statements to the chair of the audit committee who then summarizes exceptions taken in a written report to be reported to the Board of Directors.

Form 990, Part VI, Section B, line 15

The UMCS has established a written compensation policy for its personnel and adminstration committee to follow in establishing the compensation for the CEO/Executive Director, other officers or key employees. The policy mandates that executive compensation be periodically reviewed by the compensation committee and that the members of the committee should be free of conflicts of interest. In addition, the approving personnel and adminstration committee reviews appropriate and adequate data to determine the reasonableness of compensation being considered. The personnel and adminstration committee uses a variety of information and studies that are available to determine that the appropriate level of compensation is paid to its executives. The personnel and adminstration committee's decision on the amount of compensation paid is required to be adequately documented in a contemporaneously written format and should document the date of the decision, the members present during the decision and those who voted on it, the full terms of the transaction that was approved and the comparable data used and relied upon to make the decision. The compensation review process for the CEO/Executive Director, top management officials, other officers or key employees is done annually.

Financial Statement Notes

Part IV, Line 2B:

Through the years the UMCS has been given money to hold and invest for certain churches. Througout the year, distrubtions of some of these funds are made upon request of the churches for which thier funds are held.

Part V, Line 4:

Permanently restricted endowment funds include the principal amount of gifts and bequests for which the donor has specified that the principal be maintained intact, and that only the income from investments greater than the original principal value can be expended, either for general purposes or for purposes specified by the donor. During the year ended June 30, 2021 UMCS received a restricted contribution of $2.7M from the Bethany Methodist Home. The funds are to be spent on programs which serve and assist the older adult population in New York City. $30M of the total endowment has been designated by the Board to provide income for future operations.
