Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of five governors including the president, who shall be its chairman, the first and second vice-presidents, the treasurer and secretary of the corporation. Ex-officio members of the committee may include persons who are governors. In the interim of board meetings, the executive committee has all the powers of the board with respect to the routine business of the corporation, subject to approval by the board at the next regular meeting.

Form 990, Part VI, Section A, Line 6

The club is a not-for-profit corporation formed to stimulate, foster and promote public interest in the arts and to further the education of the american people in the fine arts. The members of the corporation are divided into classes according to their eligibility. 1. Resident members may be individual or dual members. 2. Non-resident members may be individual or dual members. 3. Younger members have two classes: members until age 28 and members until age 35. Younger members may be individual or dual members.

Form 990, Part VI, Section A, Line 7A

All members have voting rights. Dual members are counted as 2 votes, one for each member. Each member has the right to vote for new board members nominated by the nominating committee or by nominating petition. The member must attend the annual meeting in person or by proxy to have his/her vote counted.

Form 990, Part VI, Section B, Line 11B

The information necessary to prepare form 990 is compiled by the club's accounting staff and the controller. The accounting staff and controller review the prepared form 990. The treasurer reviews and the president executes form 990. The treasurer, in consultation with the finance committee and independent counsel will report to the board of governors any matters in connection with the filing of form 990 that he deems should be so reported.

All board members are asked to complete a conflict-of-interest disclousre form every year. The form is generally given to each member of the board at the 1st board meeting may after the annual meeting of members in may to elect new members to the board or thereafter as needed.

Financial Statement Notes

PART III, LINE 1A:

Consistent with the practices of many other not-for-profit organizations, the club's art collection, which was acquired through purchases and contributions since the club's inception, is not recognized as an asset on the statement of financial position. Purchased collection items are recorded as decreases in the statement of activities and proceeds from deaccessions are reflected as increases in the statement of activities in the year in which the items are acquired or sold.

PART III, LINE 4:

The club's art collection is a physical manifestation of its mission at work. It is displayed in the club's headquarters, and consists of works of art in several different mediums. The collection has been built over more than a century, and many pieces were created by club members. It not only honors the past work of artists and club members, but also serves to facilitate the club's mission in the present and future. It reminds and encourages anyone who visits the club to create and patronize works of art of many mediums.

PART V, LINE 4:

The club maintains permanently endowed funds whose purpose is to provide long term support for donor directives. Descriptions of the purposes of the more significant funds are as follows: margaret martin fund to honor, recognize, promote and/or benefit artists' use of water colors. Jazz series program to support jazz performers and performances at the club and partnership with the national jazz museum in harlem. Capital projects fund to support specific renovation projects requiring substantial outlays.
