“There are 11 members of childfund alliance each member is required to elect at least one representative to the board of directors of who will be responsible for making decisions with their member organizations interest in mind.”

“There are three circumstances in which a member organization would have the authority to elect one or more of child fund alliance's governing body. The first is when an organization newly joins child fund alliance. At that time, the member organization would elect at least one representative to the board of directors. The second is if a vacancy arises, if a member of the governing board, for any reason, must step down, the original memeber organization who designated that memeber of the governing body may elect a replacement. The third is at the annual meeting. Those elected to the board of directors serve a four year term and it is at the annual meeting that a member organization may elect a replacement for someone who has fulfulled thier term.”

“The form 990 is prepared via a service agreement with childfund international, one of the members of childfund aliance. As per the service agreement, the return is prepared, reviewed and signed by childfund international. The process includes a review by the chair of the finance committee of childfund alliance. A copy of the draft is then provided to the secretary general of childfund alliance for her review and distribution as necessary prior to filing.”

“The remuneration of the secretary general was determined by a sub-committee of the board, having regard to available comparative data and market requirements. The sub-committee is chaired by the chairman of childfund alliance. The decision of the sub-committee was subsequently ratified by the full board. The remuneration of other employees is determined from time to time by the secretary general in consultation with the chairman. Remuneration decisions take into account available comparative data, the results of performance reviewes and market conditions.”
