As the sole member of the foundation, aaa may remove directors from the board of directors with or without cause, fill vacancies on the foundation's board of directors, and approve proposed changes to the foundation's bylaws.

Form 990, Part VI, Section B, Line 11B

The board of directors for the aaa-icdr foundation inc. (the corporation), reviews the corporation's form 990 submissions. Prior to submission to the board of directors, the substantive input for the form 990 is gathered and reviewed by the treasurer. It is compiled and reviewed by volunteers of the finance department of the related organization, with the assistance from the corporation's independent accounting firm. It is then submitted for review to volunteers of the executive management of the related organization. Only subsequent to these reviews is the form 990 forwarded to the board of directors. Once it is reviewed by the board of directors, it is signed by the treasurer as the appropriate officer of the corporation and is transmitted to the internal revenue service (irs) by the corporation's independent accounting firm.

Form 990, Part VI, Section B, Line 12C

At each annual meeting of the corporation, each director of the corporation shall complete a conflict of interest disclosure statement, the form of which shall be determined by the board of directors. The statement shall disclose all interested party transactions involving each board member entered into or continued during the preceding year, as well as interested party transactions currently before the board for its consideration. Form 990, part vi, section b line 13 and 14: the corporation is in the process of completing its written documentation for its whistleblower and documentation retention and destruction polices. For 2018, the corporation utilized the written documentation of the related organization, the american arbitration association, inc.
