Governance Explanations

As a membership organization, mrc has multiple levels of membership. Current bylaws state that only the platinum class merchant members may vote on matters that the board designates as voting matters. Other classes of members do not have the right to vote on matters that the board designates as voting members, however, all classes of members may influence the direction of the corporation through involvement with the board.

Platinum class merchant members may vote on matters that the board designates as voting matters, and will vote through an individual or individuals employed by or affiliated with the platinum class merchant member and specifically permitted to vote on behalf of the platinum class merchant member in the platinum class merchant member agreement ("voter"). Other classes of members do not have the right to vote on matters that the board designates as voting matters, however, all classes of members may influence the direction of the corporation through involvement with the board, the board committees or subcommittees and shall be considered "bona fide" for purposes of these bylaws and section 501(c)(6) of the code and the treasury regulations thereunder.

Mrc refreshes the coi for the boards annually. Competitor boards are monitored routinely to identify any coi and if there is a conflict it is addressed with the board member immediately and actioned as appropriate.

Financial Statement Notes

PART X, LINE 2:

Federal income tax the association is exempt from federal income tax under internal revenue code section 501(c)(6); accordingly, no provision has been made for federal income tax in the accompanying consolidated financial statements. The association recognizes tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The association recognizes interest and penalties related to income tax matters in tax expense. As of june 30, 2024 and 2023, the association is not aware of any uncertain tax positions requiring accrual. The association files income tax returns with the u.s. Government. The association's wholly owned subsidiary, mrc fraud & payments eu limited, is a taxable entity under the laws of ireland. As of june 30, 2024 and 2023, no provision for taxes under the laws of ireland is necessary for the subsidiary.
