Election of the governing body: the member (wchcc) shall elect the trustees from among those persons nominated by the nominating committee and approved by the board of trustees.

Decisions of the governing board: the board of trustees of westchester county health care corporation, the sole member of the foundation, has the authority to approve the organizations policies and propose changes to the organizations mission statement, authorize the amendment or restatement of the organizations governing documents, and the authority to approve the organizations operating and capital budgets.
