International Biodegradable Products

“Membership in the corporation shall be limited to corporations, associations, universities or governments, that demonstrate a sincere interest in promoting the use of biodegradable and/or compostable products and materials, throughout the world. Classes of members shall include a. Full members: entities who have a signed a corporation license agreement covering a certified product or material, are not in material breach of such license agreement, and that demonstrate a sincere interest in promoting the use of biodegradable and/or compostable products and materials; b. Certification members: entities who have a signed a corporation license agreement covering a certified product or material, are not in material breach of such license agreement; c. Stakeholder industry members: entities without a corporation license agreement that demonstrate a sincere interest in promoting the use of biodegradable and/or compostable products and materials, including but not limited to retailers, restaurants, brands, universities, testing laboratories, and associations; d. Stakeholder composter/municipality members: entities collecting and/or processing compostable materials that demonstrate a sincere interest in promoting the use of biodegradable and/or compostable products and materials, including composting facilities, municipalities, and other government agencies. All members shall pay a designated membership fee which shall be determined annually by the membership committee and approved by the board of directors, and if not so determined, shall be as last determined by the board of directors. Membership fees may vary depending on class and/or the size of the organization, as determined by the membership committee and board of directors. The corporation may establish or create affiliate organizations in countries other than canada for the purpose of carrying out the objects and purposes of the corporation for coordinating or exchanging information and data and may accept applications for international members from organizations or countries other than canada who have similar objectives as those of the corporation.”

“Directors shall be elected annually to hold the position of those directors whose term has expired. The only classes of members eligible for the board of directors are full members and stakeholder compost/municipality members. One (1) board seat shall be held each election cycle for a stakeholder composter/municipality member, should someone apply, with no more than three (3) stakeholder composter/municipality members on the board at any time. Each director shall be elected to office for a term of three (3) years. All classes of members may vote in the election, and the election winner shall be determined by the number of votes cast by all members participating in the election.”

“All members shall be entitled to attend and speak at meetings of members of the corporation. Voting at member meetings of the corporation shall be open to all members. Members shall be permitted up to three (3) delegates to attend membership meetings of the corporation and to speak there, as well as be on committees of the corporation. However, members shall only receive one (1) vote during membership meetings.”
