Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 was sent to the full board of directors, who commented to management about the document, and management provided those comments to the tax preparer to make revisions before filing. The complete, final 990 was provided to the board prior to filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organizations board has adopted a conflict of interest policy that covers all directors, officers and key employees. Under this policy, prior to initial election, appointment or hiring of any director, officer or key employee, and annually thereafter, the Secretary shall distribute to each such person a copy of the policy together with a written disclosure statement. The disclosure statement shall require confirmation that such person has read the Policy and agrees to be bound by it, and identify any potential covered arrangements. Each such person shall complete, sign and submit such disclosure statement promptly and shall update his or her disclosure statement as necessary to keep it accurate during the course of the following year. The Chair of the Audit Committee and the Board Chair will review all potential covered arrangements for determination of whether a conflict exists. The Audit Committee (or the Board in certain circumstances), is responsible for the review and approval of such transactions. Persons with a conflict must refrain from participating in, being physically present during, or attempting to influence, the consideration or determination by the Audit Committee or Board of the covered arrangement.

During FY '16 the executive committee reviewed comparable salaries based on a recognized study and reviewed the performance of the Executive Director to determine if the existing salary falls within these ranges. After a deliberation of this matter, a new proposed salary and benefit package is voted on. The minutes of the executive committee reflect the nature of this process.

IRS990/Desc0Twenty-five years ago, Harlem RBI reclaimed a scruffy baseball field on what was known as the worst block in New York City. The organization aimed to provide a safe space for young people to play in the midst of staggering poverty, poor health outcomes and low educational expectations. Since that time, baseball and softball has been used as a hook to engage youth in educational enrichment and social-emotional growth, with the goal of high school success and college graduation. Harlem RBI helps young people facing enormous barriers to achievement recognize their potential and realize their dreams.Today, Harlem RBI serves 2,000 youth in East Harlem and the South Bronx. Harlem RBIs mission is to provide inner-city youth with opportunities to play, learn and grow. Harlem RBI uses the power of teams to coach, teach and inspire youth to recognize their potential and realize their dreams. The organization offers a unique brand of youth development where every child plays on a baseball or softball team, while engaging in academic and enrichment activities. This not only teaches youth important values such as teamwork and respect, but also surrounds them with positive role models who will help them become active citizens and leaders in the community. Programs are free of charge and open to all youth, regardless of athletic or academic ability. The story of Harlem RBI and its participants is one of perseverance. Life is a series of failures and mistakes and, more importantly, opportunities to learn. What youth experience on a baseball field is a microcosm of real life experiences. In baseball, if you fail seven of ten times, you are considered wildly successful. For participants, there is no quota for failure the organization wants to ensure that youth outlast the ups and downs of the game and come through failure learning how to succeed. To do this, the organization builds a culture of high expectations and robust support systems.Harlem RBI offers a continuum of services for youth from Kindergarten to college and beyond. Programming is offered year-round; during the school year, elementary school youth meet Monday-Friday for approximately three hours after school, with middle school youth having up to four hours of programs. High school programming is offered after school each day during the week for two or three hours. Baseball and softball games are played on Saturdays, January-September for middle and high school participants. During the summer, elementary youth receive six weeks of full-day programming, with t-ball games on Saturdays, and middle school youth have five and a half hours of programming. High school graduates participate in a summer boot camp or internship. High school and college participants are often employed by Harlem RBI over the summer as umpires and coaches, which provide essential job training in a supportive environment.
