Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm. It is reviewed by the president & ceo and the finance, audit, & investment committee. A complete copy of the form 990 is provided to all members of the organization's governing body prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy which it consistently monitors and enforces. All directors, officers, and employees of the organization annually sign a copy of the organization's conflict of interest policy, disclosing any potential conflicts that may exist. The documents are submitted to the president & ceo who reviews the signed attestations. The board of directors determines whether a conflict of interest exists and decides whether the organization may enter into the proposed transaction or arrangement. The person with the actual conflict of interest is prohibited from voting on the matter giving rise to the conflict.

Form 990, Part VI, Section B, Line 15A

The compensation of the president and ceo is annually reviewed and approved by the executive committee of the board of directors. The committee uses form 990s of other organizations with a comparable mission and in a comparable market. The decision is contemporaneously documented in the minutes of the meeting. The process last occurred in january 2025.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
