Governance Explanations

Form 990, Part VI, Section B, Line 11

White plains downtown district management association, inc. Has its form 990 prepared by an independent certified public accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management, and the executive committee of the board and is ready to be filed with the internal revenue service, it is electronically sent to board members of the organization for any comments. Any comments are then grouped, summarized and provided to the independent certified public accounting firm. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is applicable to employees, board members and members of any committee. The policy will be monitored by the executive director, executive committee and chairperson. Interested persons are required to complete an annual disclosure statement, disclosing any actual or potential conflicts. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. The governing board or committee, after exercising due diligence, shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15A

The organization's top management is comprised of the board of directors, which are uncompensated, and the executive director. The board of directors, acting through the executive committee, reviews the compensation of all employees. The committee makes recommendations which are then approved or rejected by the board. The executive committee has the authority and may act on its own to approve staff compensation. The committee reviews the wages and compensation of similar employees doing similar functions in other organizations. Comparability data and information is compiled from guidestar, particularly with respect to the executive director, and other sources (e.g. Labor department data and conversations with other employers). This process was last undertaken in june/july 2015. All actions taken by the board concerning staff compensation are detailed in a memorandum each time they are undertaken.

THE WPDDMA'S CLEAN TEAM, CLAD IN HIGHLY RECOGNIZABLE AND BRIGHTLY COLORED TEE SHIRTS, HATS, AND COATS WORKS 7 DAYS A WEEK, 52 WEEKS A YEAR TO INSURE THAT THE LITTER BASKETS ARE EMPTIED AND ANY LOOSE TRASH ON THE STREET IS REMOVED. IN FISCAL YEAR 2014/15 THE CLEAN TEAM HELPED TO REMOVE 519 LBS. OF TRASH BAGS PER WEEK, EQUALING 373,680 LBS. PER YEAR, FROM THE BID'S 99 TRASH RECEPTACLES. THE TEAM ALSO ALERTS WPDDMA MANAGEMENT TO UNSIGHTLY CONDITIONS ON THE STREET THAT NEED TO BE ADDRESSED. THE WPDDMA WORKS CLOSELY WITH THE CITY'S DEPARTMENT OF PUBLIC WORKS TO ADDRESS THESE CONDITIONS AND TO KEEP THE DOWNTOWN CLEAN. WE ARE PROUD TO PARTNER WITH THEM IN THESE EFFORTS AND ARE GRATEFUL FOR THEIR SUPPORT.GUM REMOVAL IS A LABORIOUS TASK, AS THE GUM IS REMOVED SPOT-BY-SPOT FROM THE CITY'S SIDEWALKS. THE WHITE PLAINS BUSINESS IMPROVEMENT DISTRICT (BID) CONTAINS OVER 27,000 LINEAR FEET OF SIDEWALK. DURING THE LAST FISCAL YEAR THE WPDDMA WAS ABLE TO REMOVE GUM FROM 11,859 LINEAR FEET, 44% OF THE AREA'S TOTAL LINEAR STREET FRONTAGE. EFFORTS WERE CONCENTRATED ON THOSE STREETS WITH THE WORST GUM PROBLEMS, INCLUDING MARTINE AVENUE, MAMARONECK AVENUE AND MAIN STREET. WITH SUCH A DIVERSE POPULATION IN WHITE PLAINS AND ITS SURROUNDING AREAS, THE WPDDMA STRIVES TO PROVIDE SOMETHING FOR EVERYONE. PROUD CULTURAL EVENTS INCLUDE THE SAINT PATRICK'S DAY, OKTOBERFEST, AND OUR CINCO DE MAYO CELEBRATION WHICH WAS ENHANCED THIS YEAR WITH THE PRESENCE OF CORONA, AND MEGA 97.9 AND AMOR 93.1 SPANISH BROADCASTING STATIONS. A 2014 RETAIL MARKET ANALYSIS REPORT FOR THE WPDDMA STATED, FESTIVALS AND STREET FAIRS HAVE THE GREATEST POTENTIAL FOR BRINING SHOPPERS TO THE AREA MORE OFTEN NEARLY THREE OUT OF FOUR NON-SHOPPERS WERE MORE LIKELY TO VISIT DOWNTOWN WHITE PLAINS THAN THEY DO CURRENTLY IF THERE WERE FESTIVALS AND STREET FAIRS. THE DIRECT DOWNTOWN EXPENDITURES STIMULATED BY OUR 2014 EVENTS EXCEEDED THE WPDDMA'S FISCAL YEAR 2014/15 ANNUAL ASSESSMENTS OF $665,000. SHOP WHITE PLAINS CARDHOLDERS ARE PROVIDED WITH THE ABILITY TO OBTAIN DISCOUNTS ON GOODS AND SERVICES PURCHASED WITHIN THE BID. THE PROGRAM IS FREE TO PARTICIPATING MERCHANTS, THERE WERE 35 PARTICIPATING MERCHANTS AT THE END OF FISCAL YEAR 2014/15. EACH BUSINESS OWNER HAS THE ABILITY TO UNIQUELY STRUCTURE THEIR OWN DISCOUNT, WITH THE MAJORITY OFFERING AT LEAST A 10% REDUCTION IN PRICE.
