Governance Explanations

Form 990, Part VI, Section B, Line 11

White plains downtown district management association, inc. Has its form 990 prepared by an independent certified public accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management, and the executive committee of the board and is ready to be filed with the internal revenue service, it is electronically sent to board members of the organization for any comments. Any comments are then grouped, summarized and provided to the independent certified public accounting firm. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy approved in 2012 is applicable to employees, board members and members of any committee. The policy will be monitored by the executive director, executive committee and chairperson. Interested persons are required to complete an annual disclosure statement, disclosing any actual or potential conflicts. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. The governing board or committee, after exercising due diligence, shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Disclosure statements were last returned during 3/19/2014-4/14/2014.

Form 990, Part VI, Section B, Line 15A

The organization's top management is comprised of the board of directors, which are uncompensated, and the executive director. There are four full time employees. The board of directors, acting through the executive committee, reviews the compensation of all employees. The committee makes recommendations which are then approved or rejected by the board. The executive committee has the authority and may act on its own to approve staff compensation. The minutes to the meeting reflect the decision made by the executive committee. The committee reviews the wages and compensation of similar employees doing similar functions in other organizations. Comparability data and information is compiled from guidestar, particularly with respect to the executive director, and other sources (e.g. Labor department data and conversations with other employers). Decisions are discussed at the executive board meetings but are not, for purposes of confidentiality, recorded in the minutes. The executive director creates a memo for the personal file for all decisions concerning compensation. This process was last undertaken in september of 2010 when the organization hired a new executive director. No change has taken place thru fiscal year end 6/30/2013.

The organization makes its form 990 and form 1023 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. The wpddma recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the wpddma had no uncertain tax positions that would require financial statement recognition or disclosure. The wpddma is no longer subject to examinations by applicable taxing jurisdictions for periods prior to june 30, 2011.

THE CLEAN SWEEP TEAM, CLAD IN HIGHLY RECOGNIZABLE AND BRIGHTLY COLORED YELLOW TEE-SHIRTS, IS CONTINUOUSLY WALKING THROUGH THE DOWNTOWN, SWEEPING THE SIDEWALKS AND EMPTYING THE LITTER BASKETS. THE CLEAN SWEEP PROGRAM IS MORE THAN A STREET CLEANING PROGRAM. THE PROGRAM IS AN INTEGRAL COMPONENT OF THE WHITE PLAINS DOWNTOWN DISTRICT MANAGEMENT ASSOCIATION'S (WPDDMA) WORK TO IMPROVE THE IMAGE AND THE PERCEPTION OF THE DOWNTOWN. THE PROGRAM SIGNALS TO RESIDENTS, VISITORS, AND WORKERS THAT THE CITY AND THE WPDDMA BELIEVE IT IS WORTHWHILE TO INVEST IN THE CITY. THE CLEANER THE DOWNTOWN, THE MORE WILLING PEOPLE ARE TO COME DOWN TO SHOP, EAT, AND SPEND THEIR LEISURE TIME. THE PROGRAM HAS BEEN PRAISED BY PROPERTY OWNERS, RETAILERS AND VISITORS ALIKE FOR THE MARKED IMPROVEMENT TO THE CHARACTER OF OUR DOWNTOWN.THERE ARE 20 CITY BLOCKS CONTAINED WITHIN THE WHITE PLAINS BUSINESS IMPROVEMENT DISTRICT (BID) COMPRISING OVER 20,000 FEET OF LINEAR FLOOR AREA. OVER 2,100 BAGS OF GARBAGE ARE PICKED UP AND REMOVED FROM THE STREETS PER MONTH BY THE WPDDMA. IN ADDITION, THE WPDDMA'S GREEN MACHINE, A SIDEWALK SWEEPER, AND GUM BUSTER ARE OUT SEVEN DAYS A WEEK, WEATHER PERMITTING, AND MAINTAIN CLEAN SIDEWALKS. IN FY 2013/2014, THE WPDDMA REMOVED GUM ON MAMARONECK AVENUE, MAIN STREET, AND MARTINE AVENUE. TO ACCOMPLISH THIS TASK THE WPDDMA PURCHASED AN ADDITIONAL GUMBUSTING MACHINE IN FY 2013/2014. WITH TWO MACHINES WE WERE ABLE TO ACCOMPLISH MORE GUM REMOVAL THAN EVER BEFORE.THE WPDDMA STRIVES TO KEEP THE STREETS CLEAN AND STREET FURNITURE IN GOOD CONDITION. PEOPLE WANT TO VISIT AND SHOP IN LOCATIONS THAT ARE CLEAN, ATTRACTIVE AND VIBRANT. DURING THE LAST FISCAL YEAR, THE WPDDMA'S EVENTS WERE ATTENDED BY OVER 32,000 PEOPLE. THE WPDDMA'S EVENTS STIMULATED SPENDING OF OVER $664,000 IN DOWNTOWN WHITE PLAINS ON FOOD, BEVERAGES, PARKING, CLOTHING AND HOTELS. THE EVENTS ALSO PROVIDED BUSINESS OWNERS WITH THE OPPORTUNITY TO CAPTURE NEW AND HOPEFULLY REPEAT CUSTOMERS.

WE PUBLISH A WEEKLY ON-LINE NEWSLETTER THAT IS DISTRIBUTED TO 1,200 INDIVIDUALS. THE WPDDMA OPERATES A SIDEWALK SALES PROGRAM DESIGNED TO HELP LOCAL MERCHANTS CAPTURE THE EXCESS FOOT TRAFFIC BROUGHT INTO THE DOWNTOWN DURING WPDDMA EVENTS. THE WPDDMA SECURES CITY PERMITS AND INSURANCE FOR ALL OF THE MERCHANTS THAT PARTICIPATE IN OUR SIDEWALK SALES PROGRAM. IN FISCAL YEAR 2013 - 2014 THE WPDDMA HAD FIVE SIDEWALK SALES WITH 48 PARTICIPATING MERCHANTS. POST INFORMATIONAL MEETINGS WITH SIDEWALK SALES PARTICIPANTS SHOW STRONG ENTHUSIASM FOR THIS ACTIVITY AMONG LOCAL MERCHANTS. ON AVERAGE BUSINESS INCREASES BETWEEN 25% AND 50% DURING THE SIDEWALK SALE. BUSINESSES PARTICIPATING IN THE SIDEWALK SALES SEE THEM AS A GREAT OPPORTUNITY TO MARKET THEMSELVES TO CITY RESIDENTS AND WORKERS.THE WPDDMA REGULARLY HOSTS AND PROMOTES SEMINARS TO HELP LOCAL MERCHANTS RUN THEIR BUSINESSES MORE EFFICIENTLY AND PROFITABLY. DURING THE LAST YEAR THE BID HOSTED AND/OR PROMOTED THE FOLLOWING SEMINARS, WORKSHOPS AND ACTIVITIES TO BID BUSINESSES:1. DIGITAL MEDIA MARKETING THE JOURNAL NEWS & WPDDMA2. SMALL BUSINESS FORUM ASSEMBLYMAN BUCHWALD3. SOCIAL MEDIA MARKETING WESTCHESTER COMMUNITY COLLEGE4. ACADEMY FOR ENTREPRENEURIAL EXCELLENCE WESTCHESTER COMMUNITY COLLEGEIMPORTANT INFORMATION CONCERNING SEVERAL ECONOMIC DEVELOPMENT INCENTIVES WERE SENT TO WPDDMA MEMBERS DURING THE LAST FISCAL YEAR. THESE INCENTIVES INCLUDE ENERGY FINANCING AND REBATE PROGRAMS FROM THE NEW YORK STATE ENERGY RESEARCH AND DEVELOPMENT AUTHORITY AND THE ENERGY IMPROVEMENT CORPORATION. THESE PROGRAMS PROVIDE DIRECT FINANCIAL INCENTIVES TO SUPPORT THE INSTALLATION OF ENERGY SAVING FIXTURES AND EQUIPMENT. THE WPDDMA ALSO DISTRIBUTED INFORMATION CONCERNING THE NYS YOUTH WORKS TAX CREDIT WHICH PROVIDES A BUSINESS WITH TAX CREDITS FOR HIRING YOUTH AGES 16-24.IN FISCAL YEAR 2011/2012 THE WPDDMA COLLECTED AND COMPILED INFORMATION FOR THE SECOND PRINTING OF ITS WHITE PLAINS DINING GUIDE. IN FISCAL YEAR 2012/2013, THE WPDDMA PRINTED 10,000 COPIES OF THE GUIDE FOR DISTRIBUTION TO AREA HOTELS, RESIDENTS, COMMUNITY ORGANIZATIONS, HOSPITALS AND CITY GOVERNMENT. OVER 7,000 COPIES OF THE GUIDE WERE DISTRIBUTED THAT YEAR. IN FISCAL YEAR 2013/2014 THE WPDDMA DISTRIBUTED THE REMAINING 3,000 COPIES OF THE GUIDE. THE WPDDMA PROVIDES ITS MEMBERS AND DOWNTOWN BUSINESS AND PROPERTY OWNERS WITH IMPORTANT INFORMATION CONCERNING GOVERNMENT REQUIREMENTS AND PROGRAMS. DURING THE LAST FISCAL YEAR, THE WPDDMA SENT OUT SEVERAL NOTICES CONCERNING SNOW REMOVAL REQUIREMENTS AND STREET CLOSINGS FOR PAVING AND SPECIAL EVENTS. THE WPDDMA ALSO INFORMED THE BUSINESS COMMUNITY OF THE CITY'S PROPOSED VIDEO CAMERA ORDINANCE. THE PROPOSED ORDINANCE WAS REVIEWED BY THE WPDDMA AND A FEW CHANGES WERE RECOMMENDED THAT WOULD LESSON POTENTIAL FINANCIAL IMPACTS ON THE BUSINESS COMMUNITY.IN FISCAL YEAR 2012/2013, THE WPDDMA EXPLORED THE FEASIBILITY OF PROVIDING VALET PARKING ON EAST POST ROAD AND MAMARONECK AVENUE WITH AREA BUSINESS OWNERS. UNFORTUNATELY, THE WPDDMA CONCLUDED THAT ON EAST POST ROAD THERE WAS NO CONVENIENT PARKING AVAILABLE TO PARK THE CARS THAT WOULD BE USED BY A VALET SERVICE. HOWEVER, MAMARONECK AVENUE AND MAIN STREET HAD THE POTENTIAL TO SUPPORT SUCH A SERVICE. IN 2013/2014 THE WPDDMA WORKED WITH THE CITY TO EXAMINE THE POTENTIAL OF PILOTING A VALET SERVICE ON MAMARONECK AVENUE. A DRAFT REQUEST FOR PROPOSALS HAS BEEN DEVELOPED TO PROCURE THIS SERVICE. THE WPDDMA SERVES AS A LIAISON FOR LOCAL MERCHANTS WHEN WORKING WITH CITY AGENCIES. WE HELP LOCAL MERCHANTS UNDERSTAND LOCAL GOVERNMENT REGULATIONS, SUCH AS THE REQUIREMENTS FOR OUTDOOR CAFES, AND AIDE WITH INDIVIDUAL ISSUES WITH MUNICIPAL DEPARTMENTS INCLUDING BUILDINGS,
