Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The executive committee consists of a president, vice president, treasurer and secretary. All are members of the board. The executive committee has all the authority of the board, except in the following matters: 1. Submission to members of any action with respect to which members' approval is required by law; 2. Filling vacancies in the board of directors or in any committee; 3. Fixing compensation, if any, of the directors for serving on the board or on any committee; 4. Amending or repealing the by-laws or adopting new by-laws; 5. Amending or repealing any resolution of the board which by its terms cannot be amended or repealed; 6. The election or removal of officers or directors; or 7. The approval of a merger or plan of dissolution. The hchsaa bylaws also delegate discrete authority to act on behalf of the board to three other committees: a. The audit committee, b. The finance committee, and c. The governance committee.

Form 990, Page 6, Part VI, Line 6

A draft of the form 990 is submitted to the audit committee and the board for their review before it is filed.

Form 990, Page 6, Part VI, Line 12C

Each board member fills out a conflict of interest at the beginning of the fiscal year. The form is reviewed by the audit commitee and filed. The newly elected executive committee adopted a policy of conducting a conflicts check at the beginning of each board meeting and executive committee meeting.

Form 990, Page 6, Part VI, Line 15A

As part of the executive director hiring process the board created an ad hoc search committee composed of current board members, a former board member, and human resources and not-for-profit executives. That search committee developed and documented a list of comparable entities and researched their executive director and key employees' compensation data. The search committee reported its finding to the board, which reviewed the information and then decided the compensation for the executive director and key employees.

The committee also sponsored 1,081 for tickets to a brooklyn academy of music (bam) performance for the interns. The aa provided financial support for the black student union (bsu) club fair. The aa partnered with the hchs pta and spent 6,000 to help offset the cost of the senior prom for students facing financial obstacles to participating. The aa also funded a 2,310 gift for a social studies department field trip to the 9/11 museum and 2,904 for a class trip to ellis island. The hchs website had not been updated in a decade. The aa contributed 2,317 for an on-campus photoshoot, capturing images of culture clubs, faculty, student life, and campus grounds. Aiding in the support of educational resources, the aa awarded a grant of 2,460 for adobe subscriptions for educational software. "during the 2023 graduation ceremony, the aa awarded 6,250 to hunter students and committed an additional 2,000 to cover the cost of the convocation speaker. These events and programs were designed to reflect the hchsaa's dedication to fostering a strong and supportive alumnae/i community, to ensure ongoing support for the high school's educational and extracurricular initiatives. In honor of black history month, the hchsaa's diversity committee sponsored a virtual panel discussion on historically black colleges and universities (hbcus) hosted by judith daniel '79, with panelists, janice herbert-carter '73, m.d., ernestine williams duncan '79, ph.d., ronald aikens '86, j.d.
