“There shall be four classes of membership: academic, practitioner, student, and emeritus. 1. Academic members shall be a teacher and/or researcher of management in a college, university, or research institute. 2. Practitioner members shall be a management consultant or other management practitioner. Practitioner members in the academy shall be limited to no more than twenty-five percent of the total membership. 3. Student members shall be graduate students with an interest in the field of management who are not otherwise employed on a full-time basis; and pay dues at a reduced rate for a maximum of six years or until graduation, whichever comes first. 4. Emeritus members shall be retired without full-time employment, a member of the academy for at least the ten years preceding qualification as emeritus, and pay dues at a reduced rate.”

“The chair of the nominating committee shall send out to the membership a nominating ballot that calls for each member to nominate two write-in candidates for each representative to be elected. The nominations shall be considered by the nominating committee in developing the slate of candidates. The ballot shall contain three nominees for each representative elected. Members with a vote shall be asked to rank candidates for representative at large, within each of three candidate groups.”

“Members may initiate amendments to the bylaws by a petition signed by ten percent of the voting members. Such amendments must be voted upon by the membership.”

“Form 990 is reviewed in house by the organization's finance department and the executive director performs a final review before signing the form.”

“The organization requires all board members and key employees to complete a conflict of interest statement annually. These are reviewed by the finance committee.”

“The compensation of the executive director and of the other key employees is determined by the five members of the executive committee of the board of governors, using comparability data for similar positions. This data was compiled and submitted to the committee by an independent compensation consultant.”

“The organization makes its governing documents available on its website. The conflict of interest and financial statements are available upon request.”

“The audit committee, executive director, and chief financial officer assume responsibility for oversight of the audit.”
