The members elect the directors and have certain rights of approval as members as provided by delaware law. The organization's certificate of incorporation provides that the members of the corporation shall be the u.s. Directors. Furthermore, if at any time and for any reason any member shall cease to be a u.s. Director, such person shall simultaneously cease to be a member.”

“The form 990 was prepared by lgc&d, llp and reviewed in detail with the organization prior to filing. Chief financial officer, alan griffin, coordinated with lgc&d to provide an accurate and representative form 990. A copy of the form 990 was provided to each director of the u.s. Russia investment fund prior to filing with the irs.”

In addition, each person must complete a questionnaire concerning conflicts of interest annually, and upon any change of circumstances, which shall be reviewed by the audit committee.”

“Alan griffin and lori jones are officers of the organization. Although their compensation is determined and paid directly by the u.s. Russia foundation (usrf), a related tax-exempt organization, the u.s russia investment fund's board has concurred with the determination of compensation amounts through its approval of the cost sharing agreement between the two organizations. The organization's top management official, steven l. Pease, did not receive any compensation for the reporting period.”

“Conversion to limited liability company on march 15, 2011, the fund filed a certificate of dissolution with the state of delaware, to be completed by march 15, 2014. Unable to complete its liquidation by this date, the fund was given permission by usaid on february 21, 2014 to convert to a limited liability company ("llc"). Usaid further stipulated (1) that the newly formed llc continue as the grantee under, and must comply with, the terms and conditions of the grant agreement between usaid and the fund dated august 15, 1995, as subsequently amended, and (2) that the proceeds from the sale of assets transferred by the llc to the u.s. Russia foundation for economic advancement and rule of law ("the foundation") be distributed according to a formula to be subsequently determined by the u.s. Government. On march 1, 2014, with usaid approval, the fund revoked its certificate of dissolution and converted, under delaware law, to the u.s. Russia investment fund, llc ("tusrif, llc"). The sole member of the converted tusrif, llc is the foundation, a tax-exempt organization with federal ein 01-0732928. All income and expenses related to tusrif, llc for the period march 1, 2014 through september 30, 2014 have been included in the form 990 filing for the foundation.”
