Form 990, Part VI, Section B, Line 11B

Broadway training center has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by the co-treasureres and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

In order to comply with the broadway training center conflict of interest policy, board directors and employees annually complete a form to disclose real and potential conflicts of interest. The completetd forms are reviewed by the executive committee, and used to resolve any actual or potential conflicts and, in the absense of resolution, refer the matter to the board of directors. Whenever a director or officer has a financial or personal interest in any matter coming before the board of directors, the conflicted person shall (a) fully disclose the nature of the interest, (b) not be present at or participate in board or committee deliberations or vote on the matter, and (c) not attempt to influence improperly the deliberations or voting on the matter. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the organization to do so. Disclosure statements are completed annually. The board shall oversee the adoption and implementation of, and compliance with, this conflict of interest policy. The existence and resolution of the conflict shall be documented in btc records, including minutes of any meeting where the conflict is discussed or voted on.
