Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization contracted with ncheng, llp to provide financial management services. Services included accounts payable, credit card reconciliation, grant and contract management, payroll processing, monthly financial closing processes, periodic projections, budget development, and accounts receivable. No individuals listed on part vii, section a, were compensated by the management company. The management company was paid $336,892 for these services for the year ending june 30, 2025.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm. The return is reviewed by the organization's president & ceo and finance consultant. Once approved by management, a complete copy of the form 990 is electronically presented to the organization's board of directors for review and approval prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The directors, officers, and employees of the organization annually complete a conflict of interest disclosure statement. All forms are submitted and reviewed by the president & ceo. In addition, statements are reviewed at the board of directors meetings at least annually or as needed. If during the year, any officer or director determines that they have a potential conflict of interest, they must disclose the factors of the conflict in writing to the chairperson of the board. The board may, by majority vote, ask any director or officer who has an interest in a matter not to participate, or to leave the room at the board meeting in which discussion regarding that matter is carried on; provided, however, that the interested director or officer may participate in any discussion regarding their exclusion. Directors and officers may not vote on any matter in which they have a conflict of interest.

The compensation of the president & ceo was determined by the board of directors. In order to make a determination, the board of directors reviewed forms 990 from other similar organizations whose size and scope of activities are similar to the partnership to end homelessness. The board studied compensation surveys for non-profit organizations located in the city of new york and the northeastern region of the united states. The compensation review and approval was last conducted in 2022.

Additional Explanations

FORM 990, PART III, LINE 1:

The partnership is a homelessness prevention organization. Our upstream intervention model combines housing assistance and crisis services with mental health and education programming to prevent people from losing their homes. Our services are available to new yorkers of any ability, age, family type, gender, national origin, race and sexual orientation who are at risk of, experiencing or recovering from homelessness. Prevention is the most humanitarian and cost-effective way to end homelessness. In fy25, the partnership saved homes for 2,080 households, an equivalent of more than $200 million in public savings on the cost of shelter provision. During our fy23-25 strategy period, we saved homes for more than 13,000 new yorkers in approximately 5,500 households, the equivalent of more than half a billion in public savings in shelter provision. Evaluation of our fy23-25 period shows that 93% of households remain housed.

FORM 990, PART I, LINE 5, AND PART V, LINE 2A:

The organization contracted with a professional employer organization (peo) for services, including but not limited to, payroll, timekeeping, employee benefits, hr administration and workforce regulatory compliance needs. As the employer of record for tax purposes, forms w-2 and w-3 are issued by the peo and filed under the peo's federal ein. In this co-employment arrangement, the organization is the common law employer and, accordingly, compensation is reported on form 990, part vii, section a and part ix, lines 5-10.

FORM 990, PART XII, LINE 2C:

The organization has an audit committee that is responsible for the oversight of the audit of its financial statements and the selection of the auditors. The organization also has a finance and investment committee that is responsible for the oversight of the quarterly internal financial statements and selection of the accountants. This process has not changed from the prior year.

FORM 990, PART XI, LINE 8:

During fiscal year 2025, the partnership updated its 2023 financial statements to appropriately reflect contract revenue and related receivables in accordance with not-for-profit accounting standards. The partnership determined that $157,838 of contract fees associated with program expenditures incurred in 2023 had been under-billed to a governmental agency and should have been recorded as a due from governmental agencies as of june 30, 2023. Although the related program expenditures were properly recognized in 2023, the partnership incorrectly released board-designated net assets to offset these expenditures rather than recognizing the associated contract receivable and contract revenue in accordance with asc 958-605 revenue recognition for not-for-profit entities.

Financial Statement Notes

PART X, LINE 2:

The partnership recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the partnership had no uncertain tax positions that would require financial statement recognition or disclosure. The partnership is no longer subject to examinations by the applicable taxing jurisdictions for years prior to june 30, 2022.

SERVICES INCLUDE LANDLORDS AND BROKER RELATIONS; HOUSING SEARCHES AND HOUSING QUALITY STANDARDS (HQS) INSPECTIONS; RENT REASONABLENESS ASSESSMENTS; LEASE NEGOTIATIONS; FINANCIAL ASSISTANCE FOR QUALIFYING MOVING AND UTILITY COSTS; AND, THE DEVELOPMENT OF INDIVIDUAL RAPID REHOUSING MANUALS THAT EXPLAIN LEASE TERMS, TENANT RIGHTS AND RESPONSIBILITIES AND THE RENTAL ASSISTANCE BREAKDOWN PLAN.
