Governance Explanations

Form 990, Part VI, Section A, Line 3

The parodneck foundation provides administrative support to the operations of catch for a fee. The fee consists of allocations of salaries, fringe benefits and other operating costs paid for by the parodneck foundation. For the year ended december 31, 2024 the fee totaled $620,196.

Form 990, Part VI, Section A, Line 6

The number, qualifications, rights, privileges, responsibilities, terms of membership, and the provisions governing the withdrawal, suspension, and expulsion of members, shall be determined by the board of directors. The categories of membership for the corporation are, as follows: local rental mha members: local mutual housing associations that operate as rentals and where all renters in good standing are voting members of the local, resident-controlled mutual housing associations that are democratically run. Local cooperative mha members: local corporations that are organized as cooperatives, are democratically run, voluntarily agree, or are subject to, affordability restrictions, have at least 60% of units with shareholders in occupancy, and who have agreed to affiliate and have affiliated by contract with catch. Waiting list members: local tenant associations whose buildings are under development or planning to be re-developed, and who have applied for affiliation with catch or one of its affiliated local mhas. Public interest members: representatives from local and national not-for-profit and professional organizations whose missions include the development and preservation of resident-controlled, affordable housing.

All members are eligible to serve on the board of directors; may attend annual meetings, and, at these annual meetings, have an opportunity to hear reports from the corporation's ceo, treasurer, and secretary and have an opportunity to be heard on these matters.

Community assisted tenant controlled housing inc. Has its form 990 prepared by an outside accounting firm and have established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is filed with the internal revenue service. The form 990 is electronically sent to the board members after filing.

Form 990, Part VI, Section B, Line 12C

The policy is designed to encourage and ensure open communication and transparency between individual board members and the organization when potential conflicts of interest may arise. No policy can anticipate perfectly every possible situation as may arise during the life of an organization. As such, what follows is the board's best effort to identify and describe foreseeable and hopefully avoidable situations in which a conflict of interest may arise. When any case of doubt arises, individuals at any level are required to approach their respective manager up to an including the foundation president/ceo or the chair of the board of directors for direction. If such case of doubt shall relate to a matter involving the president/ceo or chair of the board of directors, a group of directors designated by the executive committee of the board shall provide a recommended course of direction. Board members are expected to adhere to in the conduct of the business of the parodneck foundation, exercise of their responsibilities, their public trust, and the best interests of the foundation. Board members should make decisions in light of the relevant public interest. They should not do so in order to gain financial or other material benefits for themselves, their families or their friends. Members must avoid conflict of interest with respect to their responsibility. To ensure openness, competitive opportunity, and appropriate access to sensitive information, there must be no self-dealing or conduct of private business or personal services between any board member and the agency except as procedurally controlled.

The organization makes its form 990 and form 1023 available for public inspection as required under section 6104 of the internal revenue code. In addition, the financial statements, conflict of interest policy, articles of incorporation, and by-laws are also available upon written request or by calling the organization directly.
