Form 990, Part VI, Line 12C Conflict of interest policy

Board members and officers are required to sign a conflict of interest and disclosure form, and any conflicts that arise are brought before the board for review. Employees must also sign a conflict of interest and disclosure form to ensure compliance with the employee manual and the conflict of interest policy, which is updated annually.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The compensation and performance of the co-presidents are reviewed bi-annually by the executive committee of the board of directors of the armory foundation. The executive committee uses comparability information for similarly qualified persons and evaluates the performance of the co-presidents. All other officers' compensation is reviewed by armory foundation management bi-annually. There is contemporaneous documentation and recordkeeping retained on all compensation arrangements. This process is performed bi-annually in may and november of each year.

Financial Statement Notes

Schedule D, Part V, Line 4 Intended uses of endowment funds

The endowment funds are restricted funds. Only interest (100%), dividends (100%), and capital appreciation (65%) can be distributed semi-annually to the armory foundation. However, with the board's authorization, the armory foundation can borrow from these funds or against them instead of using a regular lender, such as the fund for the city of new york, if needed. In that sense, the funds serve both as a reserve and a source of income for normal operations.

IRS990/Desc0TRACK AND FIELD MEETS: OVER 105 TRACK AND FIELD MEETS ARE HELD EACH YEAR AT THE ARMORY RANGING IN SIZE FROM 100 ATHLETES TO OVER 5,000. THE ARMORY TRACK IS CONSIDERED TO BE THE FASTEST TRACK IN THE WORLD AND ATTRACTS ATHLETES AND SPECTATORS FROM ALL OVER THE UNITED STATES. TRACK PRACTICES: IN A NORMAL YEAR, THE ARMORY HOSTS 220 TRACK PRACTICE SESSIONS ATTRACTING APPROXIMATELY 70,000 VISITS OF MOSTLY YOUNG ATHLETES. PROGRAMMING EXTENDS BEYOND YOUTH AND REACHES COMMUNITY ADULTS AND SENIORS, BUT THE FOCUS REMAINS ON YOUTH. THE MAIN TRACK SEASON RUNS FROM OCTOBER THROUGH THE MIDDLE OF APRIL, BUT PROGRAMMING CONTINUES THROUGHOUT THE YEAR. THE OBJECTIVE IS TO FULFILL THE MISSION OF THE ARMORY OF KEEPING EVERYONE ON TRACK.
