Governance Explanations

Form 990, Part VI, Section B, Line 11B

Upon receiving the draft of the Form 990 from the organization's accountant, the staff emails the document to the board of directors for their immediate review before filing.

Form 990, Part VI, Section B, Line 12C

Periodic reviews shall be conducted by the Board to ensure that Theater Labrador operates in a manner consistent with its charitable purposes and that it does not engage in activities that could jeopardize its status as an organization exempt from federal income tax. Should a Conflict of Interest exist, the Chairperson of the Board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the Board or committee shall determine whether Theater Labrador can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the Board or committees shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the best interest and for its own benefit and whether the transaction or arrangement is fair and reasonable to Theater Labrador and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination.

Two producing partnerships as well as one project presented through our In Collaboration with New Georges producing model, supported by Venturous Theater Fund of the Tides Foundation, in which we provide mentorship and support to New Georges Affiliated Artists who are producing their work independently. It also supported core programs The Audrey Residencies, The Jam, The Room, and New Georges Supported Productions. Productions:GRIEF HOTEL by Liza Birkenmeier, directed by Tara Ahmadinejad: we joined Clubbed Thumb as presenting partners for their remount of a show by two long-time New Georges affiliated artists, originally presented in Clubbed Thumbs 2023 Summerworks; The Public Theater, March 20 to April 27, 2024, including a one-week extension. HILMA by Kate Scelsa and Robert M. Johanson, directed by Morgan Green: we were producing partners on the world premiere of a contemporary opera based on the life and work of the artist Hilma af Klint at The Wilma Theater in Philadelphia, June 4 to 23, 2024 (streaming through July 21). KARA & EMMA & BARBARA & MIRANDA by Ariel Stess, directed by Meghan Finn, was produced by the playwright and presented In Collaboration With New Georges at The Tank, August 2 to 17, 2024. The play sold out all performances in its short festival run and received rave reviews in The New Yorker and Vulture. Ariel was the winner of a 2024 Obie Award for Playwriting and the 2025 Yale Drama Series Prize for this play.Ongoing artistic and organizational programs:The Jam: New Georges collaboration-based, artist-led working lab for early- to mid-career theatermakers met biweekly throughout the 2023-24 season, the second year of the current cohorts two-year session. A new method of selecting collaborators resulted in strong, productive artistic collaborations and the first post-pandemic presentation of JAMboree, The Jams traditional culminating event, held May 13 and 14, 2024, at Brooklyns Center for Performance Research. New members to this cohort were admitted in fall 2024. The Audrey Residencies: the 2023-24 residency cohort consisted of 10 resident artists working on 7 new-play projects, individually or in collaboration. The group met monthly into June 2024; a new cohort was admitted in early fall 2024, consisting of 12 resident artists working on 8 new-play projects, individually or in collaboration. Monthly residency meetings for this group were inventively devised and productive, and progress of significance was made in developing their residency projects in The Room and beyond. Participants in New Georges Supported Productions, in which we provide no-fee fiscal sponsorship, promotional support, and an institutional platform to affiliated artists producing their work independently, included Nadira Simones PLAY HERE [_____] at Wild Project, March 2024; Catherine Fillouxs HOW TO EAT AN ORANGE, May/June 2024; LA PALOMA PRISONER, by Raquel Almazan, directed by Estefana Fadul, at Chelsea Factory in December 2024.The Room/Subsidized Workspace: The Room hosted the rehearsals and development processes of 102 New Georges affiliated artists, both participants in core development programs and our Subsidized Workspace program, which provides our artists with experiment space for their own creative projects at very low rates. In fact, affiliated artist use of The Room is higher than at any time in our history, limiting the income usually provided by outside renters in favor of mission-driven activity.
