Aids service center of lower manhattan, inc., d/b/a alliance for positive change, is a non-profit corporation founded in 1990 that helps new yorkers living with hiv and other chronic illnesses make lasting positive changes towards health, housing, recovery and self-sufficiency. Alliance offers a diverse range of individualized, professional services in an environment that fosters self-respect, personal responsibility and connection to community. By providing access to medical care, peer-to-peer education, and safe practice counseling, alliance annually helps more than 14,000 nyc residents develop sustainable solutions that maximize independence, promote wellness and make a positive change in their lives. All alliance innovative programs and services are free, confidential, available in english, spanish, french, and haitian creole, and delivered through community centers in midtown, east harlem, washington heights, the east village and northeast bronx. Aids service center of lower manhattan, inc. Is now doing business as alliance for positive change. The change in agency name in no way diminishes our dedication and commitment to our legacy as an aids service provider. Our innovative, integrated service model has grown in response to 25 years of on-the-ground work. The new name reflects an expansion of services and a doubling down on our mission: building community, connection, and stability for people living with hiv and other chronic illnesses. We are still very much focusing on the needs of the hiv/aids community. We are also using our expertise and resources to help those living with other chronic health conditions as well as addressing social determinants of health including poverty, homelessness, and unemployment.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the vp of finance and ceo before it is sent to the board finance committee for their review and approval. The finance committee reviews the form 990 and indicates changes where necessary. When the finance committee is satisfied with the changes, the board treasurer directs management to distribute the final copy to the full board of directors prior to filing. After the board of directors receives a final copy of the form 990, the board treasurer authorizes the filing of the form 990 by management.

Form 990, Part VI, Section B, Line 12C

All members of alliance's board of directors sign a conflict of interest disclosure statement at the annual board meeting each year. The ceo, coo and vp of finance monitor all relations with board members and ensure that there is no conflict of interest. Should a board member have a change in job or position that puts their interests in potential conflict with those of alliance, the ceo and board chair will review this with the board member. Depending on the details of the situation, the board member will, at minimum, recuse themselves from all discussions where a conflict of interest may influence their vote. Instances of conflicts of interest are documented in board meeting minutes.

Form 990, Part VI, Section B, Line 15

The executive committee of the board, all of whom are independent, is empowered by the by-laws to negotiate compensation with the ceo. The executive committee undertakes a review of the compensation surveys of comparable not-for-profit organizations regarding ceo's with comparable experience, education, size of staff, budget, and geographic locale. The ceo completes a self-evaluation and members of the executive committee complete an oral evaluation of the ceo. Based on all the foregoing, the executive committee determines the compensation and continued employment of the ceo. These determinations are documented in the executive committee minutes and reported to the board of directors at a subsequent meeting. With respect to key employees, their compensation is determined pursuant the hr policies governing all staff. The organization's salaries are established as a result of considering compensation levels for similar positions in other organizations in the social and behavioral health industries and the not-for-profit community. The last compensation review of the ceo was done for performance during the fiscal year 2018-19.

All alliance innovative programs and services are free, confidential, available in english, spanish, french, and haitian creole, and delivered through community centers in midtown, east harlem, washington heights, the lower east side, east village and northeast bronx. Programs include: care management program: alliance's innovative care management services provide a continuum of medical care, mental health counseling, peer-to-peer education, harm reduction and related support services. Our partnerships with area hospitals and health centers allow us to bring people living with hiv/aids and other chronic conditions comprehensive care, services and support. We help clients stay connected by escorting them to appointments, visiting them at home if they are too ill to travel, and acting as their advocate. To address issues faced by women with children and survivors of domestic violence, we also offer family counseling and facilitation of legal services. Peer services: alliance's comprehensive peer-to-peer education & training program provides skills, opportunities, and service for active and recovering substance users, women, ex-offenders, and other at-risk, underserved subpopulations. Armed with skills and information, alliance peer educators provide high-risk communities throughout nyc with prevention education on hiv, substance use, hepatitis, and sexually transmitted infection along with support groups, escorts to doctors' appointments and other key services. Trained peer educators receive paid internships and serve as inspiring examples of the possibility of change, helping others to initiate and maintain healthy behavior.

Other alliance services include: 1) confidential hiv testing & counseling 2) connection to medical care, including facilitation and coordination of services 3) quality of life counseling and intervention to meet basic needs 4) peer-to-peer education, training and recovery support 5) harm reduction and safe-practice counseling 6) women's services 7) mental health/support groups/spiritual guidance 8) creative writing and art workshops to promote self-awareness and self-expression alliance's comprehensive harm reduction and care management services include collocating care coordinators in clinics of area hospitals to support patients in consistently engaging in medical care and supporting adherence to medications and treatment regimens.

PART X, LINE 2:

The organization is a non-profit corporation, exempt from federal income taxes under section 501 (c)(3) of the internal revenue code and has been classified as an organization that is not a private foundation under section 509(a). The financial accounting standards board ("fasb") issued guidance on accounting for uncertainty in income taxes which the organization has adopted. Management evaluated the organization's tax positions and concluded that the organization had taken no uncertain tax positions that require adjustment to the combined financial statements to comply with the provisions of this guidance. With few exceptions, the organization is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities for years before 2021.

THROUGH PHARMACY ACCESS CENTERS AT ALLIANCE'S COMMUNITY SERVICE SITES IN WASHINGTON HEIGHTS, MIDTOWN, AND THE BRONX, WE OFFER TREATMENT EDUCATION AND PLANNING, PEER SUPPORT, FOOD AND NUTRITION SERVICES, AND INCENTIVES AS PART OF OUR PROGRESSIVE PATIENT-CENTERED TREATMENT ADHERENCE PLAN.
