“During 2023, the organization had a management contract with san francisco association management services (sf-ams). Under the contract, all general management and financial operations of the organization were the responsibility of sf-ams. Compensation paid to sf-ams in exchange for these services totaled $290,375 in 2023.”

“The organization has the following classes of members (defined as classes of members who have the right to participate in the organizations governance): (i) active members, which include ophthalmologists licensed to practice medicine and surgery, as well as individuals holding a phd and working in the field of ophthalmology; and (ii) resident members, which include any medical school graduate who is a candidate-in-training in ophthalmology at the time of the application, as well as fellows.”

“The nominating committee of the board of directors prepare a slate of eligible candidatesone person each director-at-large and officer positionto be elected via electronic or printed ballot. This slate of candidates, along with nominations for the following years nominating committee, is then sent to all eligible voting members at least thirty days prior to the voting deadline. A majority of the votes cast by voting members are necessary for election to office.”

“The bylaws of the organization may only be amended by either a majority vote of the board of directors or by the affirmative vote of two-thirds of the eligible members of the association, providing that the proposed amendments are distributed to all eligible voting members at least thirty days prior.”

“A copy of form 990 is reviewed by the treasurer and board prior to filing with the irs.”

“Annually all directors and officers complete and sign a statement that provides information regarding their interests and those of their family members that could give rise to conflicts. Should a potential conflict be identified, the dis-interested members of the board of directors make determinations of whether a conflict exists. If a conflict is identified, dis-interested members of the board decide whether to approve such a transaction or arrangement. Conflicted individuals are prohibited from participating in the governing bodys deliberations and decisions.”
