Governance Explanations

form 990, part VI, section B, line 11B

The federal Form 990 for calendar year 2014 was prepared by CHAP's external auditors. The draft return is discussed between the external auditor and the CFO to ensure accuracy of information and that it ties to CHAP's audited financial report for calendar year 2014. CHAP's President and CEO along with senior managment staff will also review the tax return for accuracy of information. The completed federal Form 990 will then be shared with both the executive and financial committees. A copy of the federal Form 990 is provided to the Board of Directors prior to its filing with the Internal Revenue Service.

form 990, part VI , section B, line 12C

CHAP's conflict of interest policy delineates the policies governing Board of Director members and staff regarding conflict of interest. At the first Board of Directors meeting of each year, (normally held in February) the conflict of interest disclosure forms are distributed to all Board members to be completed on site. Board members are reminded that they must recuse themselves from voting on any matters coming before the Board of Directors with which they may have a conflict. A Board member should report immediately to the Board of Directors of CHAP or President & CEO any matter that arises in which the member or employee has a conflict of interest. In matters involving a conflict of interest, a Board member or employee must disclose any known significant reasons why a transaction might not be in the best interest of CHAP. The member may not participate in discussion, unless requested by the Board of Directors, nor vote on such transactions. His/her abstention and the reason for it are recorded in the committee and/or Board of Directors minutes.

The CEO's salary is approved by Board of Director members who are independent. It is based on an independent compensation study carried out in 2012 and presented to the Board of Directors for review and final decision. These deliberations were recorded as one of the Board of Directors agenda items.

In 2014 CHAP initiated a comprehensive and multi-year review of its standards. At its 50 year mark, the organization also invested in rebranding CHAP and is now doing business as the Community Health Accreditation Partner. CHAP promises a better and faster accreditation process with people who care and have walked in the providers' shoes.

Financial Statement Notes

Fin48 (asc 740) Tax Footnote

CHAP has applied for and received a determination letter from the Internal Revenue Service (IRS) to be treated as a tax exempt entity pursuant to Section 501(c)(3) of the Internal Revenue Code (IRC). CHAP is subject to income taxes on revenue generated from other sources unrelated to its exempt purpose. Due to its tax exempt status, CHAP is not subject to income taxes and does not have any unrelated business income for the year ended December 31, 2014. CHAP is required to file and does file tax returns with the IRS and other taxing authorities. Accordingly, these financial statements do not reflect a provision for income taxes and CHAP has no other tax positions which must be considered for disclosure. Income tax returns filed by CHAP are subject to examination by the Internal Revenue Service for a period of three years. While no income tax returns are currently being examined by the Internal Revenue Service, tax years since 2011 remain open.
