If any issues are found, they would be reported to the attorney in charge, richard greenberg(through 11/16) and rosemary herbert (from 12/16), and board chair, sean hecker.”

“On an annual basis each director, officer, and key employee(s) are asked to review the conflict of interest policy and report any such conflicts. If a conflict of interest is determined to exist, the board, committee or attorney-in-charge ascertain whether the transaction or arrangement can proceed as planned or in modified format, or whether other steps need to be taken. If it is determined that a person failed to disclose actual or possible conflicts, that person is required to explain the alleged failure. A determination will be made as to any disciplinary action or corrective action for this failure. Records are kept of all proceedings relating to conflicts.”

“Oad has an independent compensation committee of the board of the directors that is responsible for determining the compensation packages of oad's president and key employees. The committee uses compensation surveys plus their own experience and that of the law firms that they represent to develop competitive compensation plans. The fy 2017 salaries were based on a process completed in march of 2016. Subsequently this process was performed again in april 2017.”
